In connection therewith, the Parties may (but do not have any obligation to) exchange information of a proprietary or otherwise confidential nature, and the Parties are willing to undertake to restrict the use and further disclosure of such information on the terms and conditions of this Agreement. It is of utmost importance that any and all Confidential Information (as defined below in Section 2.1) belonging to either Party is treated with the highest level of confidentiality. The Parties further acknowledge that the Parties may during the course of their professional relationship exchange information of a proprietary or otherwise confidential nature that falls outside of the Purpose. The Parties shall, treat such information as Confidential Information, and this Agreement shall apply mutatis mutandis to such Confidential Information. 2 Definitions 2.1 In this Agreement, Confidential Information shall mean: (a) all information (whether oral or written or in visual, electronic or tangible form) disclosed by or on behalf of one of the Parties (the Disclosing Party) to the other Party (the Receiving Party) or to any Receiving Partys Representative (as defined below in Section 3.4), including information relating to the Disclosing Party or any of its Affiliates (as defined below in Section 2.3) or any of its or their products, services, designs, business plans, business opportunities, finances, research, development know-how, personal affairs or other business matters, provided that: (i) such information, if disclosed in writing, is at the time of disclosure marked as confidential or proprietary; (ii) such information, if disclosed orally or visually, is at the time of disclosure identified as confidential and, further, is confirmed as confidential in writing to the Receiving Party within 30 days of disclosure; such confirmation referencing the place and date of disclosure and the names of the individuals to whom disclosure was made and containing a brief description of the information concerned; (iii) such information, if disclosed in any other manner, is at the time of disclosure designated in writing as confidential; or (iv) the nature of the information makes it obvious that it is confidential; and (b) the provisions of this Agreement, the existence of the above-mentioned discussions between the Parties, and the status thereof. 2.2. Notwithstanding Section2.1, Confidential Information shall not include information that: (a) is generally known to the public at the time of disclosure by or on behalf of the Disclosing Party or later becomes so generally known through no fault of the Receiving Party; (b) was known to the Receiving Party, or otherwise in its possession, prior to disclosure by the Disclosing Party or (c) is disclosed to the Receiving Party by a third party who did not obtain such information, directly or indirectly, from the Disclosing Party subject to any confidentiality obligation. The Party using or disclosing any information with reference to any of these exceptions bears the burden of proof to establish that the relevant exception applies. 2.3 In this Agreement, Affiliate shall mean, in relation to a Party, a company or other entity which: (a) is controlled, directly or indirectly, by such Party; (b) controls, directly or indirectly, such Party; or (c) is under common control with such Party; where the expressions is controlled, controls and is under common control with shall be interpreted as referring to control of more than 50% of the voting power by virtue of ownership. 3 Undertakings 3.1 The Receiving Party shall keep all Confidential Information of the Disclosing Party strictly confidential and shall not (except as explicitly permitted by this Agreement) disclose it to anyone without the prior written consent of the Disclosing Party. 3.2 The Receiving Party shall use Confidential Information of the Disclosing Party only in furtherance of the Purpose. The use of any such Confidential Information beyond the Purpose shall require the prior written consent of the Disclosing Party. 3.3 The Receiving Party shall exercise at least the same degree of care in safeguarding Confidential Information of the Disclosing Party as the Receiving Party exercises in respect of its own confidential or proprietary information of like importance but in no case less than reasonable care. 3.4 The Receiving Party shall restrict access to Confidential Information of the Disclosing Party to only those of its Affiliates and its and their employees, directors and consultants (collectively the Receiving Partys Representatives) required by their duties to have knowledge thereof or otherwise having a need to have knowledge of such information for the Purpose, which persons shall be entitled to use and disclose such Confidential Information, but only to the same extent as the Receiving Party is permitted to do so under this Agreement. The Receiving Party shall procure that the Receiving Partys Representatives will act in accordance with the provisions of this Agreement as if each of them was a party hereto by having written agreements with each such representative. Any non-compliance with any of the provisions of this Agreement by any Receiving Partys Representative shall be deemed a breach of this Agreement. 3.5 The Receiving Party shall not copy, reproduce or reduce to writing any Confidential Information of the Disclosing Party unless and to the extent reasonably required for the Purpose. 3.6 Upon written request of the Disclosing Party, the Receiving Party shall, at its own expense, immediately return all copies of the received information existing in documented form, or, in the Disclosing Partys sole discretion, certify in writing that all copies of such information have been destroyed. 3.7 If the Receiving Party or any Receiving Partys Representative becomes compelled by judicial or administrative process or required by applicable law or any competent governmental or other regulatory authority or by any applicable contract or regulations of any applicable stock exchange or other market place to disclose any Confidential Information of the Disclosing Party, the Receiving Party shall promptly, and if possible before complying with any such requirement, notify the Disclosing Party in order for the Disclosing party to seek a protective order or other appropriate remedy and/or waive compliance with the provisions of this Agreement, and the Receiving Party shall co-operate with the Disclosing Party regarding any action which the Disclosing Party may decide to take to challenge legally the validity of such requirement or the manner of disclosure. 4 Contact Persons For the purpose of exchanging Confidential Information and other communication under this Agreement, the Parties have nominated the following contact persons and addresses. Any such exchange shall be considered to be made under the terms of this Agreement. 5 Miscellaneous 5.1 All Confidential Information of the Disclosing Party shall remain the property of the Disclosing Party, and no license or other rights to such Confidential Information is granted or implied hereby (except the rights explicitly provided for by this Agreement). 5.2 All Confidential Information is provided on an as is basis, without any warranty, whether express or implied, as to its reliability, accuracy, completeness, or suitability for any specific purpose. 5.3 Upon the request of, and as requested by, the Disclosing Party, the Receiving Party shall return or destroy, and certify in writing the return and/or destruction of, all originals, copies, reproductions, and summaries of Confidential Information of the Disclosing Party, and other media in whatever form or format containing such Confidential Information, within thirty (30) days of such request. 5.4 The Parties acknowledge that the breach or threatened breach of this Agreement may cause substantial and irreparable damage to the affairs or other business matter or to the competitive position of the non-breaching Party or any of its Affiliates. The non-breaching Party shall be entitled to seek specific performance and/or injunctive or other equitable relief to restrain any threatened or continued breach of this Agreement in any court, arbitral proceedings or authority which may exercise jurisdiction over the breaching Party or any of its assets and, to the extent permitted by applicable law, take concurrent actions in any number of such courts, arbitral proceedings or authorities. To the extent permitted by applicable law, each of the Parties hereby waives any requirement for the posting of a bond or other security in connection with the granting to the other Party of such injunctive relief. 5.5 In the event that either Party should commit a breach of any provision of this Agreement, then the breaching party shall be liable to pay the non-breaching Party a penalty of 100 000 Swedish kronor. Notwithstanding the foregoing, the non-breaching Party may claim larger damages upon proof that the actual injury corresponds to a greater amount than such agreed penalty. 5.6 Changes and additions to this Agreement, including to this Section 5.5, must be in writing and duly executed by both Parties. 5.7 If any provision of this Agreement is held to be invalid or unenforceable by any competent court, authority or arbitral tribunal, the remainder of that provision and all other provisions shall remain valid and enforceable to the fullest extent permitted by applicable law, and the Parties shall negotiate any changes to this Agreement to maintain the spirit of this Agreement and the framework, structure and operation of the transactions contemplated by this Agreement. 5.8 This Agreement contains the entire agreement between the Parties with respect to the subject matter of this Agreement and supersedes all previous and contemporaneous negotiations and understandings between the Parties in relation thereto, whether written or oral. 5.9 A Partys waiver of any of its rights or remedies under this Agreement must be in writing and duly executed by it. No single or partial waiver of any such right or remedy shall preclude any other or further exercise of that or any other such right or remedy. 5.10 Neither of the Parties may assign or transfer any part of its rights or obligations under this Agreement without the prior written consent of the other Party. This Agreement shall be binding upon and inure to the benefit of the permitted assignees of the Parties. 6 Term and termination 6.1 This Agreement shall become effective on the day it has been duly signed by both Parties and shall remain in full force and effect for a period of three (3) years thereafter, when it shall automatically terminate unless otherwise agreed by the Parties. The provisions of this Agreement shall, however, apply retroactively to any Confidential Information disclosed or received in conjunction with the Purpose prior to the effective date of this Agreement. 6.2 With respect to Confidential Information received or disclosed prior to the date of termination of this Agreement, the provisions of Sections 2, 3, 4, 5 and 7 shall survive the termination or expiration of this Agreement for five years. 7 Disputes and Governing Law 7.1 Disputes arising out of or in connection with this Agreement shall be finally resolved in accordance with the Gothenburg Clauses, the West Sweden Chamber of Commerce and Industry Arbitration Rules on Mediation and Arbitration. The seat of mediation or arbitration shall be Gteborg, Sweden.
