Interpretation The following definitions and rules of interpretation apply in this agreement. Definitions. Audit: means an audit carried out pursuant to clause 13. Auditor: means the Wales Audit Office or an auditor appointed by Social Care Wales as the context requires. Authorised Service Recipients: the organisations any third party to whom the parties agree (in accordance with clause 3) the Services should be supplied. Business Day: a day other than a Saturday, Sunday or public holiday in Wales. Charges: the charges which shall become due and payable by Social Care Wales to the Supplier in respect of the Services in accordance with the provisions of this agreement, as such charges are set out in Schedule 5. Commencement Date: the date of this agreement. Data Protection Legislation: all applicable laws, regulations and regulatory rules which govern the processing of Personal Data including: (i) the Data Protection Act 2018, the Privacy and Electronic Communications (EC Directive) Regulations 2003 (as amended), the UK GDPR and any subsequent legislation enacted and duly in force from time to time relating to the processing of Personal Data; and (ii) all guidance issued by regulatory authorities including the Information Commissioners Office relating to the use of Personal Data and which is binding on Social Care Wales or the Supplier. Deliverables: all Documents, products and materials developed by the Supplier or its agents, subcontractors, consultants and employees in relation to the Services in any form, including the deliverables specified in the Project Plan. EIRs: the Environmental Information Regulations 2004 (SI 2004/3391) together with any guidance and/or codes of practice issued by the Information Commissioner or relevant government department in relation to such regulations. FOIA: the Freedom of Information Act 2000, and any subordinate legislation made under the Act from time to time, together with any guidance and/or codes of practice issued by the Information Commissioner or relevant government department in relation to such legislation. Force Majeure Event: means any circumstances or event beyond a partys reasonable control which prevents or delays the performance of any of the partys obligations under this Agreement including (to the extend not of that partys making nor reasonably capable of prevention or mitigation by contingency planning): (i) earthquake, storms, flood and other acts of nature, epidemic or pandemic, war, riots, hostility (whether or not war has been declared), terrorist acts, acts of any civil or military authority, public disturbance, or (ii) any strike, lock-out or other industrial trade dispute (other than in each case by the personnel or other employees, contractors, suppliers or agents of the party seeking to rely on Force Majeure). For the avoidance of doubt, failure or delay of performance of any supplier or sub-contractor of either party shall not be an event of Force Majeure. Information: has the meaning given under section 84 of FOIA. In-put Material: all Documents, information and materials provided by Social Care Wales relating to the Services, including the in-put materials specified in the Project Plan. ITT: the Information to Tender issued by Social Care Wales inviting suppliers to bid to supply the Services. Intellectual Property Rights: patents, utility models, rights to inventions, copyright and related rights, moral rights, trade marks and service marks, business names and domain names, rights in get-up, goodwill and the right to sue for passing off, rights in designs, database rights, rights to use, and protect the confidentiality of, confidential information (including know-how and trade secrets), semiconductor topography rights, image rights, rights to personality and other similar rights, and all other Intellectual Property Rights, in each case whether registered or unregistered and including all applications and rights to apply for and be granted, renewals or extensions of, and rights to claim priority from, such rights and all similar or equivalent rights or forms of protection which subsist or will subsist now or in the future in any part of the world. Key Personnel: any member of the Suppliers Team who is identified as being key in the Project Plan and who is appointed under clause REF "a324306" \h \w  \* MERGEFORMAT 3.3(c). Law: any law, statute, subordinate legislation within the meaning of section 21(1) of the Interpretation Act 1978, bye-law, regulation, order, mandatory guidance or code of practice, judgment of a relevant court of law, or directives or requirements of any regulatory body with which the Supplier is bound to comply; Personal Data: shall have the same meaning as set out in the Data Protection Act 1998. Project: the project as described in the Project Plan. Project Milestones: a date by which a part of the Project is to be completed Project Plan: the detailed plan, set out in Schedule 2, describing the Project and setting out the Project timetable (including Project Milestones) and responsibilities for the provision of the Services Proposal: the tender proposal submitted by the Supplier and other associated documentation describing how the Supplier proposes to carry out the Services. Request for Information: a request for information or an apparent request under the Code of Practice on Access to Government Information, FOIA or the EIRs. Services: the services to be provided by the Supplier under this agreement, as set out in Schedule 1, the Project Plan and the Suppliers obligations under this agreement, together with any other services which Social Care Wales agrees to take from the Supplier. Shared Personal Data: the Personal Data to be shared between the parties under clause 11.2 of this agreement. Specification: the specification for the Project set out in the ITT. The Supplier's Manager: The Suppliers manager for the Services appointed under clause REF "a324306" \h \w  \* MERGEFORMAT 3.3(c). The Supplier's Team: The Suppliers Manager and all employees, consultants, agents and subcontractors which it engages in relation to the Services and who are appointed under clause REF "a324306" \h \w  \* MERGEFORMAT 3.3(c). Term: means the Initial Term and/or Extension Term (if applicable). Termination Date: the date of expiry or termination of this agreement. UK GDPR: has the meaning given to it in section 3(10) (as supplemented by section 205(4)) of the Data Protection Act 2018. VAT: value added tax chargeable under the Value Added Tax Act 1994. Welsh Language Obligations: the obligations of Social Care Wales in respect of the use of the Welsh language, whether under any Law, under any Welsh language scheme made under the Welsh Language Act 1993, under any Welsh language standards which apply to Social Care Wales under the Welsh Language (Wales) Measure 2011 (whether or not a compliance notice has been given to Social Care Wales) or any specific obligations in respect of the use of the Welsh language in connection with the delivery of Services which are notified to the Supplier from time to time by Social Care Wales. A person includes a natural person, corporate or unincorporated body (whether or not having separate legal personality). The Schedules form part of this agreement and shall have effect as if set out in full in the body of this agreement. Any reference to this agreement includes the Schedules. 1.4 Unless the context otherwise requires, words in the singular shall include the plural and in the plural shall include the singular. 1.5 A reference to a statute or statutory provision is a reference to it as amended, extended or re-enacted from time to time and all subordinate legislation made from time to time under that statute or statutory provision 2. Commencement and duration 2.1 This agreement shall take effect on the START DATE 2.2 The Supplier shall provide the Services to Social Care Wales and the Authorised Service Recipients on the terms and conditions of this agreement. 2.3 The Supplier shall provide the Services from the date specified in the Project Plan. 2.4 The Services supplied under this agreement (the Initial Terms) shall continue to be supplied until END DATE unless this agreement is terminated in accordance with clause 18. 2.5 Social Care Wales shall have the option to renew the agreement for a further ## for the extended delivery of Services. 2.6 Should Social Care Wales wish to exercise the option set out in clause 2.5 above, it shall do so on at least ## months written notice to the Supplier, pending confirmation of further funding from Welsh Government. 2.7 Acceptance of renewal of the agreement will be made in accordance with clause 4.3. 3. The Supplier's responsibilities 3.1 The Supplier shall provide the Services, and deliver the Deliverables to Social Care Wales and to any Authorised Service Recipients, in accordance with Schedule 1 and Project Specification, and shall allocate sufficient resources to the Services to enable it to comply with this obligation. 3.2 The Supplier shall meet, and time is of the essence as to, the Project Milestones specified in Schedule 2. If the Supplier fails to do so, Social Care Wales may (without prejudice to any other rights it may have): terminate this agreement in whole or in part without liability to the Supplier; purchase substitute services from elsewhere; and hold the Supplier accountable for any loss and additional costs incurred. The Supplier shall: co-operate with Social Care Wales in all matters relating to the Project; subject to the prior written approval of Social Care Wales, appoint or, at the written request of Social Care Wales, replace without delay: the Supplier's Manager, who shall have authority under this agreement contractually to bind the Supplier on all matters relating to the Services; and Key Personnel, who shall be suitably skilled, experienced and qualified to carry out the Services. subject to clause REF "a214330" \h \w  \* MERGEFORMAT 3.3(b), ensure that the same person acts as the Suppliers Manager throughout the term of this agreement; promptly inform Social Care Wales of the absence (or anticipated absence) of the Suppliers Manager, or any Key Personnel. If Social Care Wales requires, the Supplier shall provide a suitably qualified replacement; and not make any changes to the Suppliers Manager or the Key Personnel without the prior written approval of Social Care Wales (such approval not to be unreasonably withheld or delayed). The Supplier acknowledges and agrees that Social Care Wales is entering into this agreement on the basis of the Proposal, the Proposal is accurate and complete in all material respects, and is not misleading. 4. Change control 4.1 If either party requests a change to the scope or execution of the Services, the Supplier shall, within a reasonable time (and in any event not more than 5 working days after receipt of Social Care Wales's request), provide a written estimate to Social Care Wales of: the likely time required to implement the change; any necessary variations to the Suppliers charges arising from the change; the likely effect of the change on the Project Plan; and any other impact of the change on this agreement. 4.2 Unless both parties consent to a proposed change, there shall be no change to the Project Plan or this agreement. 4.3 If both parties consent to a proposed change, the change shall be made, only after agreement of the necessary variations to the Suppliers charges, the Services, the Project Plan and any other relevant terms of this agreement to take account of the change that has been reached and this agreement has been varied in accordance with clause 21. 5. Charges and payment 5.1 In consideration of the provision of the Services by the Supplier, Social Care Wales shall pay the charges as set out in Schedule 3. 5.2 The total price for the Services shall be the amount set out in Part 1 of Schedule 3. The total price shall be paid to the Supplier is set out in Part 2 of Schedule 3, whereby the Supplier shall invoice Social Care Wales for the charges that are then payable (VAT is applicable). 5.3 Social Care Wales shall pay each invoice which is properly due and submitted to it by the Supplier, within 30 days of receipt, to a bank account nominated in writing by the Supplier. 5.4 If a party fails to make any payment due to the other party under this agreement by the due date for payment, then, without limiting the other party's remedies under clause 16, the defaulting party shall pay interest on the overdue amount at the rate of 3% per annum above Bank of Englands base rate from time to time. 6. Quality of Services 6.1 The Supplier warrants to Social Care Wales that: the Supplier will perform the Services with reasonable care and skill and in accordance with generally recognised commercial practices and standards in the industry for similar services; the Services will conform with all descriptions and specifications provided to Social Care Wales by the Supplier, including the Proposal, Project Specification and Project Plan; and the Services and Deliverables will be provided in accordance with all applicable legislation from time to time in force, and the Supplier will inform Social Care Wales as soon as it becomes aware of any changes in that legislation. 6.2 Social Care Wales's rights under this agreement are in addition to the statutory terms implied in favour of Social Care Wales by the Supply of Goods and Services Act 1982 and any other statute. 7. Monitoring 7.1 Social Care Wales may monitor the performance of the Services by the Supplier. 7.2 The Supplier shall co-operate, and shall procure that its sub-contractors co-operate, with Social Care Wales in carrying out the monitoring referred to in clause 7.1 at no additional charge to Social Care Wales. 8. Intellectual property rights 8.1 The Supplier assigns to Social Care Wales, with full title guarantee and free from all third party rights, the Intellectual Property Rights and all other rights in the products of the Services (including the Deliverables). 8.2 At its own expense, the Supplier shall, and shall use all reasonable endeavours to procure that any necessary third party shall, promptly execute and deliver such documents and perform such acts as may be required for the purpose of giving full effect to this agreement, including securing for Social Care Wales all right, title and interest in and to the Intellectual Property Rights and all other rights assigned to Social Care Wales in accordance with clause 8.1. 8.3 The Supplier shall obtain waivers of any moral rights in the products of the Services (including the Deliverables) to which any individual is now or may be at any future time entitled under Chapter IV of Part I of the Copyright Designs and Patents Act 1988 or any similar provisions of law in any jurisdiction. 9. Indemnity 9.1 The Supplier shall indemnify and hold Social Care Wales and the Authorised Service Recipients harmless from all claims and all direct, indirect or consequential liabilities (including loss of profits, loss of business, depletion of goodwill and similar losses), costs, proceedings, damages and expenses (including legal and other professional fees and expenses) awarded against, or incurred or paid by, Social Care Wales as a result of or in connection with: any alleged or actual infringement, whether or not under the laws of England and Wales, of any third party's Intellectual Property Rights or other rights arising out of the use or supply of the products of the Services (including the Deliverables); or any claim made against Social Care Wales or the Authorised Service Recipients in respect of any liability, loss, damage, injury, cost or expense sustained by Social Care Wales's or the Authorised Service Recipients employees or agents or by any customer or third party to the extent that such liability, loss, damage, injury, cost or expense was caused by, relates to or arises from the provision of the Services or the Deliverables as a consequence of a breach or negligent performance or failure or delay in performance of this agreement by the Supplier. 9.2 Subject to clause 9.3 and except in the case of death or personal injury caused by negligence, and fraudulent misrepresentation or in other circumstances where liability may not be so limited under any applicable law, the Suppliers total liability to Social Care Wales in respect of all losses arising under or in connection with this agreement, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall in no circumstances exceed the full value of the contract, including VAT. 9.3 The Suppliers liability to Social Care Wales in respect of all losses arising under or in connection with any breach by the Supplier of clause 11 (Data Protection) shall be unlimited. 9.4 During the term of this agreement and for a period of 2 years thereafter, the Supplier shall maintain in force, with a reputable insurance company, professional indemnity insurance in an amount not less than 500,000 and shall, on Social Care Wales's request, produce both the insurance certificate giving details of cover and the receipt for the current year's premium. 9.5 The provisions of this clause 9 shall survive termination of this agreement, however arising. 10. Freedom of Information 10.1 The Supplier acknowledges that Social Care Wales is subject to the requirements of the FOIA and the EIRs. The Supplier shall: provide all necessary assistance and cooperation as reasonably requested by Social Care Wales to enable Social Care Wales to comply with its obligations under the FOIA and EIRs; transfer to Social Care Wales all Requests for Information relating to this agreement that it receives as soon as practicable and in any event within 2 Working Days of receipt; provide Social Care Wales with a copy of all Information belonging to Social Care Wales requested in the Request For Information which is in its possession or control in the form that Social Care Wales requires within 5 Working Days (or such other period as Social Care Wales may reasonably specify) of Social Care Wales's request for such Information; and not respond directly to a Request For Information unless authorised in writing to do so by Social Care Wales. 10.2 The Supplier acknowledges that Social Care Wales may be required under the FOIA and EIRs to disclose Information without consulting or obtaining consent from the Supplier. Social Care Wales shall take reasonable steps to notify the Supplier of a Request For Information (in accordance with the Secretary of State's section 45 Code of Practice on the Discharge of the Functions of Public Authorities under Part 1 of the FOIA) to the extent that it is permissible and reasonably practical for it to do so but (notwithstanding any other provision in this agreement) Social Care Wales shall be responsible for determining in its absolute discretion whether any information is exempt from disclosure in accordance with the FOIA and/or the EIRs. 11. Data Protection 11.1 In this clause, the terms Controller, Processor, processing, Personal Data and Data Subject shall have the meanings set out in the Data Protection Legislation. 11.2 The Supplier acknowledges that in its provision of Services pursuant to this Agreement it will have access to and process Personal Data. For the purposes of this Agreement, the Parties acknowledge and agree that Social Care Wales is the Controller and the Supplier is the Processor of that Personal Data. Schedule 5 sets out the scope, nature and purpose of processing by the Supplier, the duration of the processing, the types of Personal Data and categories of Data Subject. 11.3 The Supplier will only process and use the Personal Data in accordance with Social Care Wales' written instructions and for the purposes of performing the Services and for no other purpose. The Supplier must at all times process the Personal Data lawfully and fully in compliance with the Data Protection Legislation. 11.4 In respect of its processing of Personal Data under this Agreement, the Supplier must: 11.4.1 for the duration of this Agreement maintain in place appropriate technical and organisational measures to protect Personal Data against unauthorised or unlawful Processing and against accidental loss or destruction of, or damage to, the Personal Data. The Supplier will provide Social Care Wales with details of such security measures and procedures as required by this Clause 11.4.1; 11.4.2 not process Personal Data outside the European Economic Area without Social Care Wales' prior written consent, which Social Care Wales may withhold in its absolute discretion; 11.4.3 fully co-operate with Social Care Wales to enable Social Care Wales to comply in good time with any request by a Data Subject to exercise any of their rights under the Data Protection Legislation, including the right to subject access, and/or responding to any enquiry made, or investigation or assessment of processing initiated by any regulatory authority (including the Information Commissioners Office) in respect of the Personal Data; 11.4.4 ensure that Personal Data is not made available by default to all personnel of the Supplier or of any authorised subcontractor and that only such personnel as are strictly required to do so in order to meet the Supplier's obligations under this Agreement shall have access to the Personal Data. The Supplier shall take reasonable steps to ensure the reliability of all its employees who have access to the Personal Data; 11.4.5 not appoint any third party to process the Personal Data for any purpose without Social Care Wales' prior written consent. Where Social Care Wales provides such consent, the Supplier shall procure that the third party processes the Personal Data in accordance with the Supplier's obligations under this Agreement and the Supplier must be responsible directly to Social Care Wales for any failure by the third party to process Personal Data accordingly; and 11.4.6 provide such information as is reasonably required by Social Care Wales to enable Social Care Wales to satisfy itself as to the Supplier's compliance with its obligations under this Agreement and the Data Protection Legislation, and shall permit Social Care Wales, its employees or authorised agents or advisers (on reasonable notice and during normal working hours) reasonable access to any relevant premises, to audit the Supplier's compliance with its obligations under this Agreement and the Data Protection Legislation, and to inspect the procedures and measures referred to in this Clause. Social Care Wales shall: (a) observe the Supplier's procedures relating to the protection of confidential information about any clients or customers of the Supplier; and (b) take all reasonable steps to minimise disruption to the Supplier's business during such audit. 11.5 The Supplier must promptly (and in any event by the end of the next business day) notify Social Care Wales by emailing HYPERLINK "mailto:databreach@socialcare.wales"databreach@socialcare.wales if any Personal Data processed under this Agreement has been lost, destroyed, damaged, corrupted or accessed by or disclosed to unauthorised third parties or if the Supplier suspects or has reason to believe that any Personal Data may have been lost, destroyed, damaged, corrupted or accessed by or disclosed to unauthorised third parties (each, a Personal Data Breach). Any notification under this Clause 11.5 must include (if known by the Supplier): 11.5.1 the nature of the Personal Data Breach; 11.5.2 the categories and approximate number of Data Subjects who may be affected by the Personal Data Breach; 11.5.3 the categories and approximate number of Personal Data records that may be affected; 11.5.4 the likely consequences of the Personal Data Breach; and 11.5.5 any measures that the Supplier has taken or proposes to take to address the Personal Data Breach. 11.6 The Supplier shall take all steps as reasonably required by Social Care Wales, and provide all reasonable assistance to Social Care Wales, in order for Social Care Wales to deal with any Personal Data Breach notified in accordance with Clause 11.5, including where relevant notification to the Information Commissioners Office and notification to individual Data Subjects. 11.7 Upon expiry or termination of this Agreement (for whatever reason) and at other times when requested to do so by Social Care Wales the Supplier must, at the choice of Social Care Wales, either: 11.7.1 deliver up to Social Care Wales all Personal Data in its then current format and such other format as Social Care Wales may require; or 11.7.2 delete all Personal Data, including without limitation, any Personal Data stored on any magnetic or optical disk or memory and confirm such deletion to Social Care Wales within ten (10) days of Social Care Wales' instruction. 12. Confidentiality 12.1 Subject to clause 12.2, the parties shall keep confidential all matters relating to this agreement and shall use all reasonable endeavours to prevent their representatives from making any disclosure to any person of any matters relating hereto. 12.2 Clause 12.1 shall not apply to any disclosure of information: required by any applicable law, provided that clause 10.2 shall apply to any disclosures required under the FOIA or the EIRs; that is reasonably required by persons engaged by a party in the performance of such party's obligations under this agreement; where a party can demonstrate that such information is already generally available and in the public domain otherwise than as a result of a breach of clause 12.1; to enable a determination to be made under clause 3.1; which is already lawfully in the possession of the receiving party, prior to its disclosure by the disclosing party; and by Social Care Wales to any other department, office or agency of the Welsh Government. 13. Audit 13.1 The Supplier shall keep and maintain until six years after the date of termination or expiry (whichever is the earlier) of this agreement (or as long a period as may be agreed between the Parties), full and accurate records and accounts of the operation of this agreement including the Services provided under it 13.2 The Supplier shall keep the records and accounts referred to in clause 13.1 above in accordance with good accountancy practice and shall afford Social Care Wales or the Auditor (or both) such access to such records and accounts as may be required from time to time. 13.3 The Supplier shall provide such records and accounts (together with copies of the Suppliers published accounts) during the Term and for a period of six years after expiry of the Term to Social Care Wales and the Auditor and shall provide the Auditor with all reasonable co-operation and assistance in relation to each Audit. 13.4 The Parties agree that they shall bear their own respective costs and expenses incurred in respect of compliance with their obligations under this clause 13, unless the Audit reveals a material breach by the Supplier in which case the Supplier shall reimburse Social Care Wales for Social Care Wales's reasonable costs incurred in relation to the Audit. 14. Anti-bribery 14.1 The Supplier shall: comply with all applicable laws, statutes, regulations and codes relating to anti-bribery and anti-corruption including but not limited to the Bribery Act 2010 (Relevant Requirements); not engage in any activity, practice or conduct which would constitute an offence under sections 1, 2 or 6 of the Bribery Act 2010 if such activity, practice or conduct had been carried out in the UK; comply with Social Care Wales's Ethics and Anti-bribery Policy as Social Care Wales may update them from time to time (Relevant Policies); have and shall maintain in place throughout the term of this agreement its own policies and procedures, including adequate procedures under the Bribery Act 2010, to ensure compliance with the Relevant Requirements, the Relevant Policies and clause REF "a794551" \h \w  \* MERGEFORMAT 3.4(b), and will enforce them where appropriate; promptly report to Social Care Wales any request or demand for any undue financial or other advantage of any kind received by the Supplier in connection with the performance of this agreement; 15. Safeguard Against Fraud The Supplier shall safeguard Social Care Wales's funding of this agreement against fraud generally and, in particular, fraud on the part of the Supplier or the Suppliers Team. The Supplier shall notify Social Care Wales immediately if it has reason to suspect that any fraud has occurred or is occurring or is likely to occur. 16. Equality Act 16.1 The Supplier acknowledges and agrees that Social Care Wales is subject to the public sector equality duty set out in section 149 of the Equality Act 2010 ("2010 Act"). 16.2 The Supplier must, in respect of its performance of this agreement, comply with section 149 of the 2010 Act and warrants and undertakes to have due regard in its performance of this agreement to: eliminate discrimination, harassment, victimisation and any other conduct that is prohibited by the 2010 Act; advance equality of opportunity between persons who share a relevant protected characteristic (as defined in the 2010 Act) and persons who do not share it; foster good relations between persons who share a relevant protected characteristic (as defined in the 2010 Act) and persons who do not share it; and for the avoidance of doubt this obligation shall apply irrespective of whether the Supplier is a public authority for the purposes of such section. 16.3 Without prejudice to clause 16.2, the Supplier shall: comply with Social Care Wales's instructions and directions and any policies and codes of practice issued by it from time to time in relation to the 2010 Act; and promptly notify and keep Social Care Wales informed (with full supporting details if requested) of all complaints and investigations in relation to the 2010 Act. 16.4 The Supplier shall provide to Social Care Wales such information as Social Care Wales may reasonably require to: monitor the equity of access to the Services; and fulfil its obligations under the Law; and monitor equality of opportunity in employment. 17. Modern Slavery Act 17.1 The Supplier acknowledges and agrees that Social Care Wales is subject to the public sector equality duty set out in schedule 3 of the Modern Slavery Act 2015 ("2015 Act"). 17.2 The Supplier must, in respect of its performance of this agreement, comply with part 6 of the 2015 Act and warrants and undertakes to have due regard in its performance of this agreement, and in accordance with regulations to uphold transparency in supply chains, will: provide a statement for the current financial year of the organisation, to ensure that slavery and human trafficking is not taking place; in any of its supply chains, and in any part of its own business, or provide a statement that the organisation has taken no such steps. 17.3 An organisations slavery and human trafficking statement may include information about: (a) the organisations structure, its business and its supply chains; (b) its policies in relation to slavery and human trafficking; (c) its due diligence processes in relation to slavery and human trafficking in its business and supply chains; (d) the parts of its business and supply chains where there is a risk of slavery and human trafficking taking place, and the steps it has taken to assess and manage that risk; (e) its effectiveness in ensuring that slavery and human trafficking is not taking place in its business or supply chains, measured against such performance indicators as it considers appropriate; (f) the training about slavery and human trafficking available to its staff. 17.4 Without prejudice to clause 17.2, the Supplier shall: comply with Social Care Wales's instructions and directions, and any policies and codes of practice issued from time to time in relation to the 2015 Act; and promptly notify and keep Social Care Wales informed (with full supporting details if requested) of all complaints and investigations in relation to the 2015 Act. 17.5 The Supplier shall provide to Social Care Wales such information as Social Care Wales may reasonably require to: fulfil its obligations under the Law; and monitor compliance of this Act. 18. Termination 18.1 Without limiting its other rights or remedies, Social Care Wales may terminate this agreement by giving the Supplier 1 month written notice. 18.2 Without limiting its other rights or remedies, Social Care Wales may terminate this agreement with immediate effect by giving written notice to the Supplier if: the Supplier commits a material breach of any term of this agreement and (if such a breach is remediable) fails to remedy that breach within 14 days of receipt of notice in writing to do so; the Supplier repeatedly breaches any of the terms of this agreement in such a manner as to reasonably justify the opinion that its conduct is inconsistent with it having the intention or ability to give effect to the terms of this agreement; the Supplier suspends, or threatens to suspend, payment of its debts or is unable to pay its debts as they fall due or admits inability to pay its debts or (being a company) is deemed unable to pay its debts within the meaning of section 123 of the Insolvency Act 1986 or (being an individual) is deemed either unable to pay its debts or as having no reasonable prospect of so doing, in either case, within the meaning of section 268 of the Insolvency Act 1986 or (being a partnership) has any partner to whom any of the foregoing apply; a petition is filed, a notice is given, a resolution is passed, or an order is made, for or in connection with the winding up of the Supplier (being a company) other than for the sole purpose of a scheme for a solvent amalgamation of the Supplier with one or more other companies or the solvent reconstruction of the Supplier; a creditor or encumbrancer of the Supplier attaches or takes possession of, or a distress, execution, sequestration or other such process is levied or enforced on or sued against, the whole or any part of its assets and such attachment or process is not discharged within 14 days; and an application is made to court, or an order is made, for the appointment of an administrator or if a notice of intention to appoint an administrator is given or if an administrator is appointed over the Supplier (being a company). 18.3 Termination of this agreement, however arising, shall not affect any of the parties' rights and remedies that have accrued as at termination. 18.4 Clauses which expressly or by implication survive termination of this agreement shall continue in full force and effect. 19. Consequences of termination 19.1 On termination or expiry of this agreement, the Supplier shall immediately deliver to Social Care Wales: all In-put Material and all copies of information and data provided by Social Care Wales to the Supplier for the purposes of this agreement. the Supplier shall certify to Social Care Wales that it has not retained any copies of In-put Material or other information or data; and all specifications, programs (including source codes) and other documentation comprised in the Deliverables and existing at the date of such termination, whether or not then complete. All Intellectual Property Rights in such materials shall automatically pass to Social Care Wales (to the extent that they have not already done so by virtue of clause 18.1), who shall be entitled to enter the premises of the Supplier to take possession of them. 19.2 On termination or expiry of this agreement, the provisions of Schedule 4 shall come into effect. 19.3 On termination or expiry of this agreement, the following clauses shall continue in force: clause 8 (Intellectual property rights), clause 9 (Indemnity), clause 10 (Freedom of Information), clause 11 (Data Protection) and clause 14 (Anti-bribery). 19.4 Termination or expiry of this agreement shall not affect any rights, remedies, obligations or liabilities of the parties that have accrued up to the date of termination or expiry, including the right to claim damages in respect of any breach of the agreement which existed at or before the date of termination or expiry. 20. Force majeure Social Care Wales reserves the right to defer the date for performance of, or payment for, the Services, or to terminate this agreement, if it is prevented from, or delayed in, carrying on its business by acts, events, omissions or accidents beyond its reasonable control, including strikes, lockouts or other industrial disputes (whether involving the workforce of Social Care Wales or any other party), failure of a utility service or transport network, act of God, war, riot, civil commotion, malicious damage, compliance with any law or governmental order, rule, regulation or direction, accident, breakdown of plant or machinery, fire, flood, storm or default of the Supplier or subcontractors. 21. Assignment and other dealings 21.1 The Supplier shall not assign, transfer, mortgage, charge, subcontract, declare a trust over or deal in any other manner with any of its rights and obligations under this agreement. 21.2 Social Care Wales may at any time assign, mortgage, charge, declare a trust over or deal in any other manner with any or all of its rights under this agreement. 22. Variation Subject to clause 4, no variation of this agreement shall be effective unless it is in writing and signed by the parties (or their authorised representatives). 23. Waiver No failure or delay by a party to exercise any right or remedy provided under this agreement or by law shall constitute a waiver of that or any other right or remedy, nor shall it prevent or restrict the further exercise of that or any other right or remedy. No single or partial exercise of such right or remedy shall prevent or restrict the further exercise of that or any other right or remedy 24. Rights and remedies The rights and remedies provided under this agreement are in addition to, and not exclusive of, any rights or remedies provided by law. 25. Severance If any provision or part-provision of this agreement is or becomes invalid, illegal or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid, legal and enforceable. If such modification is not possible, the relevant provision or part-provision shall be deemed deleted. Any modification to or deletion of a provision or part-provision under this clause shall not affect the validity and enforceability of the rest of this agreement. 26. Entire agreement This agreement constitutes the entire agreement between the parties and supersedes and extinguishes all previous agreements, promises, assurances, warranties, representations and understandings between them, whether written or oral, relating to its subject matter. 27. Conflict If there is any conflict, ambiguity or inconsistency between the Specification and the Proposal, the Specification shall prevail. 28. No partnership or agency Nothing in this agreement is intended to, or shall be deemed to, establish any partnership or joint venture between any of the parties, constitute any party the agent of another party, or authorise any party to make or enter into any commitments for or on behalf of any other party. 29. Third party rights No one other than a party to this agreement shall have any right to enforce any of its terms. 30. Notices 30.1 Any notice or other communication given to a party under or in connection with this agreement shall be in writing, addressed to that party at its registered office (if it is a company) or its principal place of business (in any other case) or such other address as that party may have specified to the other party in writing in accordance with this clause, and shall be delivered personally, or sent by pre-paid first class post or other next working day delivery service, commercial courier, fax or e-mail. 30.2 A notice or other communication shall be deemed to have been received: if delivered personally, when left at the address referred to in clause 29.1; if sent by pre-paid first class post or other next working day delivery service, at 9.00 am on the second Business Day after posting; if delivered by commercial courier, on the date and at the time that the courier's delivery receipt is signed; or, if sent by fax or e-mail, one Business Day after transmission. 30.3 The provisions of this clause shall not apply to the service of any proceedings or other documents in any legal action. 31. Welsh Language Obligations 31.1 The Supplier warrants that it will not supply the Services in breach of the Welsh Language Obligations, nor in such a way as to render Social Care Wales in breach of its Welsh Language Obligations. 31.2 For any required translation services the Supplier warrants it will utilise a professional English to/from Welsh translator who is a registered full member of Cymdeithas Cyfieithwyr Cymru. 31.3 Social Care Wales reserves the right to request the Supplier to re-work any translations at their own expense should they not adhere to the Cymdeithas Cyfieithwyr Cymru standards. 32. Tone of Voice Obligations 32.1 The Supplier warrants that it will supply the Services, at its own expense, in line with Social Care Wales tone of voice guidelines. 32.2 Social Care Wales reserves the right to request the Supplier to re-write any Deliverables should it not adhere to the tone of voice guidelines. 33. Accessibility 33.1 The Supplier shall comply with the World Wide Web Consortium (W3C) Web Accessibility Initiative (WAI) Web Content Accessibility Guidelines (WCAG) 2.1 Conformance Level AA standard for accessibility when delivering their Services to design, develop and build any public facing websites and mobile applications. 33.2 The Suppliers compliance with this requirement in turn enables Social Care Wales to comply with their own obligations under Public Sector Bodies (Websites and Mobile Applications) (No. 2) Accessibility Regulations 2018. 34. Dispute Resolution Procedure 34.1 In the event of any complaint or dispute (which does not relate to Social Care Wales's right to withhold funds or terminate) arising between the parties to this agreement in relation to this agreement the matter should first be referred for resolution to individual nominated by Social Care Wales from time to time. 34.2 Should the complaint or dispute remain unresolved within 14 days of the matter first being referred to the nominated individual, either party may refer the matter to the Chief Executive of Social Care Wales and the Chief Executive of the Supplier with an instruction to attempt to resolve the dispute by agreement within 28 days, or such other period as may be mutually agreed by Social Care Wales and the Supplier. 34.3 In the absence of agreement under clause 32.2, the parties may seek to resolve the matter through mediation under the CEDR Model Mediation Procedure (or such other appropriate dispute resolution model as is agreed by both parties). Unless otherwise agreed, the parties shall bear the costs and expenses of the mediation equally. 35. Governing law This agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales as applied in Wales. 36. Jurisdiction Each Party irrevocably agrees to submit to the exclusive jurisdiction of the Courts of England and Wales sitting in Cardiff (save where the Welsh Ministers direct that the High Court in London (or elsewhere) should have jurisdiction). This agreement has been entered into on the date stated at the beginning of it. Schedule 1 Services Schedule 2 Project Plan - Approach and Method Schedule 3 Pricing 1. Payment schedule 2.1 The Services will be invoiced for appropriate activity, delivered across the project phases: ### 2.2 Payment of the Charges shall be due and owing: on completion of the deliverables on the dates provided for and as set out on receipt of Social Care Wales approving (which shall not be unreasonably withheld) the deliverable; and in accordance with the procedures set out in clause 5 (charges and payment) of the Agreement for the delivery and payment of invoices. 2.3 Costs in part 1 and part 2 are subject to VAT. . Schedule 4 Personnel Personnel In this Schedule 4 the following definitions apply: New Supplier: another party chosen by Social Care Wales to take over the provision of all or part of the Services. Returning Employees: those persons listed in a Schedule to be agreed by the parties prior to the Subsequent Transfer Date who it is agreed were employed by the Supplier wholly and/or mainly in the Services immediately before the Subsequent Transfer Date. Subsequent Transfer Date: means the date or dates on which there is a transfer of responsibility for the provision of the Services or part of the Services between the Supplier and Social Care Wales and/or a New Supplier (as the case may be). TUPE: the Transfer of Undertakings (Protection of Employment) Regulations 2006 (as amended). The parties acknowledge and agree that where all or part of the Services cease to be provided by the Supplier for any reason and where all or part of the Services continue to be provided by Social Care Wales and/or a New Supplier, there may be a relevant transfer of the Returning Employees to Social Care Wales and/or the New Supplier for the purposes of TUPE. If there is such a transfer, the employment of the Returning Employees shall transfer to Social Care Wales and/or the New Supplier in accordance with TUPE with effect from the Subsequent Transfer Date. Save where the parties reasonably believe that there will be no relevant transfer for the purposes of TUPE, the parties shall co-operate in agreeing a list of Returning Employees prior to the Subsequent Transfer Date, and shall co-operate in seeking to ensure the orderly transfer of the Returning Employees to Social Care Wales and/or the New Supplier. The Supplier shall within 14 days of notice being given of termination of this agreement to the extent lawfully permitted provide Social Care Wales with the following details: a list of those personnel engaged in the Services (the Potential Returning Employees); job title, age, length of continuous services, current remuneration, benefits, and notice periods of the Potential Returning Employees; terms and conditions of employment of the Potential Returning Employees, including any particulars that the Supplier is obliged to give under section 1 of the Employment Rights Act 1996; any current disciplinary or grievance proceedings ongoing in respect of the Potential Returning Employees and any such proceedings in the preceding two years; any claims, current or which the Supplier has reasonable grounds to believe will be brought by the Potential Returning Employees or their representatives or which have been brought in the preceding two years; all benefit schemes or arrangements (whether contractual or not) applicable in respect of the Potential Returning Employees; information on any collective agreements which will have effect in relation to the Potential Returning Employees after the Subsequent Transfer Date pursuant to TUPE. The Supplier shall provide updates of the details listed above at regular intervals to be specified by Social Care Wales. The Supplier shall indemnify Social Care Wales (both for itself and a New Supplier) against all costs, claims, liabilities and expenses (including reasonable legal expenses) incurred by Social Care Wales and/or a New Supplier in connection with or as a result of: any claim or demand by any Returning Employee or a trade union or other body or person representing a Returning Employee (whether in contract, tort, under statute, pursuant to European law or otherwise) arising from any act, fault or omission of the Supplier on or before the Subsequent Transfer Date; any failure by the Supplier to comply with its obligations under regulations 13 and 14 of TUPE, or any award of compensation under regulation 15 of TUPE, save where such failure arises from the failure of Social Care Wales and/or New Supplier to comply with its or their duties under regulation 13 of TUPE; a claim by any person who transfers or alleges that they have transferred to Social Care Wales or the New Supplier but whose name is not included in the list of Returning Employees. If TUPE applies to transfer the employment of any person employed by the Supplier to Social Care Wales or any New Supplier then if Social Care Wales or such New Supplier shall serve a notice terminating the employment of such person within three months after the date of such transfer, the Supplier shall indemnify Social Care Wales (for itself and a New Supplier) in respect of any statutory or contractual redundancy payment payable in respect of such person, and any compensation or damages which Social Care Wales is obliged to pay to such person for unfair and/or wrongful dismissal or as a reasonable settlement of a claim for such compensation or damages.
