Any reference to any statute, statutory provision or standard includes a reference to that statute, statutory provision or standard as from time to time amended, re-enacted or replaced and all statutory instruments, orders or any other subordinate legislation made pursuant to it. The rule known as the ejusdem generis rule shall not apply nor shall any similar rule or approach to the construction of this Agreement and accordingly general words introduced or followed by the word "other" or "including" or "in particular" shall not be given a restrictive meaning because they are followed or preceded (as the case may be) by particular examples intended to fall within the meaning of the general words. 1A Special Terms The Special Terms set out in Appendix A to this Schedule shall have effect and form part of this Agreement. Provision of the Services The Services shall be provided by the Supplier and shall be carried out and completed to the satisfaction of the CVL IM. The Supplier will provide all labour, equipment and materials necessary to perform the Services. All such items will remain and be held at the Site at the Supplier's own risk for as long as necessary to perform and complete the Services to the satisfaction of the CVL IM. Supplier's Liability and Benefit The Supplier shall perform the Services in a regular and diligent manner, in accordance with all Statutory Requirements, any policies of the CVL IM (including its health and safety and drugs and alcohol policies) from time to time in place, standards (including ISO 9001) and with that degree of skill, care, prudence and foresight and operating practice which would reasonably be expected from time to time of a skilled and experienced provider of services similar to the Services under the same or similar circumstances as contemplated by this Agreement. Where the Supplier's engagement is extended by the CVL IM beyond the anticipated expiry of the Contract Period, the Supplier shall continue to perform its obligations in accordance with Clause 3(a). Title in all materials, goods and products supplied by the Supplier in delivering the Services pursuant to the terms of this Agreement shall be owned by the Supplier until paid for by the CVL IM pursuant to Clause 3(d). Payment by the CVL IM of a valid application from the Supplier will transfer to the CVL IM title of those materials, goods and products to which such application relates with no encumbrance or lien by the Supplier, his agents or any third party. Notices Any notice required to be given or served by either party to the other party pursuant to this Agreement shall be delivered personally or by first class pre-paid post to the relevant address as set out in the Contract Data or to such other address as either party may have notified in writing to the other party by not less than 5 Working Days' prior notice. Insurance The Supplier will effect and keep in force during all material times a policy or policies of insurance of such amount and of such type as shall be required as set out in the Contract Data. Indemnity The Supplier will indemnify and hold the CVL IM harmless against any direct, indirect or consequential loss, damage, liability, costs or claims suffered by or brought against the CVL IM arising from the Services or that may in any way relate to the Supplier's fault, negligence or failure to perform the Services in accordance with this Agreement, except to the extent that such loss, damage, liability, costs or claims arise from any negligence on the part of the CVL IM, its employees, employees or agents. Confidentiality Except as provided for in this Clause 7, no part of this Agreement or any information contained within it or arising from it shall be divulged to any third party by a party to this Agreement without the written consent of the other party to this Agreement unless either party is required to do so by law. The Supplier agrees and acknowledges that it may, at any time, be required by the CVL IM to provide information pursuant to a request made to the CVL IM in connection with the Freedom of Information Act 2000. Nothing in this Agreement shall prevent the CVL IM from disclosing this Agreement or any part thereof and/or the Supplier's confidential information: to its professional advisers; to the Secretary of State for Transport, the Office of Rail and Road, the Authority and/or the Welsh Minsters, and their respective professional advisers; to Affiliates of the Authority and/or the Welsh Minsters; for the purpose of the examination and certification of the party's accounts; to its Affiliates; to any subcontractors engaged by such party in connection with the provision of the Services or any part thereof, subject to such subcontractors entering into equivalent confidentiality obligations to those set out in this Clause 7; or to any other infrastructure manager with regard to any relevant systems, access or infrastructure related issue. Changes The CVL IM will give written notice to the Supplier of any changes to the Services that may be required by the CVL IM. Provided these changes do not arise from any fault or negligence on the part of the Supplier, the changes will be assessed and payable at the appropriate rates incorporated in this Agreement. In such cases where there is no comparable or equal rate, an appropriate rate will be assessed and agreed by the CVL IM with the Supplier (each acting reasonably) and in such instances will be paid in accordance with Clause 12. Defects and/or Non Performance The Supplier will be liable to correct all defects and/or non-performance in providing the Services at its own expense until the date occurring 12 months following the Completion Date of the Services. Where the CVL IM incurs any loss and/or expense due to defects and/or non-performance of the Services the Supplier shall reimburse the CVL IM for any loss and/or expense incurred by the CVL IM as a result of such defects and/or non-performance. Objections to Workpeople The Supplier will immediately remove any of its employees or sub-contracted personnel from the Site if required to do so by the CVL IM. Termination of the Agreement The CVL IM may terminate this Agreement for any reason and at any time immediately upon issue of written notice to that effect, provided always that the CVL IM shall pay the Supplier for all Services properly performed up to and including the date of such termination. Termination Events In the event that one or more Termination Event occurs: (A) without prejudice to Clause 11(a), the CVL IM may by written notice to the Supplier terminate forthwith this Agreement; and (B) where it is acting in accordance with paragraph 2.1 of the Special Terms, having been provided with written instructions from the Welsh Minsters to do so, the Supplier shall by written notice to the CVL IM terminate forthwith this Agreement. In the event that a Termination Event has occurred, the CVL IM may require, by written notice to the Supplier, that all outstanding Services under this Agreement be immediately suspended until such time as this Agreement is terminated. The Supplier shall not be entitled to claim for any loss or expense incurred by the Supplier, as a consequence of such termination by the CVL IM. Payment The Supplier shall present to the CVL IM (submitted via email to HYPERLINK "mailto:W&BApplications@amey.co.uk"W&BApplications@amey.co.uk ) an application stating the total amount due supported by documentation and other information required by the CVL IM, including a statement of the basis of calculation of the application, (a "Payment Application") on the dates specified in the Contract Data (but no more frequently than monthly) or, in the absence of any such specification in the Contract Data, upon completion of the Services. Payment by the CVL IM to the Supplier shall become due 14 days from the date of receipt by the CVL IM of a Payment Application in accordance with Clause 12(a) (the "Due Date"). Not later than the Due Date, the CVL IM shall give the Supplier written notice stating the amount that it considers due on the Due Date, to what the amount relates and the basis on which the amount is calculated (a "Payment Notice"). Such notice shall be given even if the amount that it considers to be due is zero. The final date for payment shall be 14 days from the Due Date ("Final Date for Payment"). Subject to Clause 12(f), any sum due to the Supplier shall be paid by the Final Date for Payment. If a payment is due from the CVL IM to the Supplier, the CVL IM may pay to the Supplier less than the sum stated in the Payment Notice or in the absence of such notice, less than the sum stated in the Payment Application provided that not later than one day before the Final Date for Payment the CVL IM has given a written notice (the "Pay Less Notice") to the Supplier which specifies: the sum that the CVL IM considers to be due on the date the notice is served having taken account of any amount to be withheld from the payment; and the basis on which that sum is calculated including grounds for any sums withheld. Where a Pay Less Notice is given, the payment to be made on or before the Final Date for Payment shall not be less than the amount stated as due in the Pay Less Notice. If the application of Clauses 12(a) and 12(c) (inclusive) results in a payment being due from the Supplier to the CVL IM, the final date for payment of this sum shall be 14 days after the Payment Notice is issued. The CVL IM shall pay to the Supplier the total amount of value added tax properly chargeable by the Supplier on the supply to the CVL IM of any goods and services under this Agreement. Notwithstanding anything to the contrary in this Agreement: the Supplier shall immediately inform the CVL IM in writing if it has decided to cease trading or intends to cease trading in the future; and the CVL IM need not pay any sum due under this Agreement to the Supplier if the Supplier is "insolvent" as defined in Section 113 of the Housing, Grants, Construction and Regeneration Act 1996. Bankruptcy, Insolvency and Liquidation The CVL IM reserves the right to recover any cost, charges or expenses to which it may be put due to any failure on the part of the Supplier to perform and complete the Services by reason of bankruptcy, insolvency or liquidation on the part of the Supplier, or and including the withholding of credit facilities to the Supplier by others. Dispute Resolution Any dispute or difference between the parties may be referred to adjudication by notice to the other in accordance with the provisions of Appendix B. Subject to the provisions of Clause 14(a) and provided the parties agree in writing, disputes may be resolved as follows:- If a difference or dispute arises between the parties and if one party wishes to pursue a claim against the other pursuant to this Agreement, such party will serve on the other party a notice within 5 days of it becoming aware of the incident or event giving rise to the claim setting out as much detail as is practicable on the circumstance and quantum of the claim. Representatives from each party shall meet within 5 working days of service of the notice of a claim and use reasonable endeavours to settle such claim. If no settlement is made within 10 working days of the meeting or if the meeting is not held, the matter shall be resolved by referral to dispute resolution set out in Appendix B. Nothing in this Clause 14 shall prevent either party from proceeding directly to referring any matter for resolution in accordance with Appendix B. Changes on a Time and Material Basis In the event that the CVL IM requires the Supplier to perform a Service on a time and materials used reimbursable basis and so instructs the Supplier in writing, the Supplier shall present records of time, material and equipment properly and reasonably used to comply with the instruction to the CVL IM for approval. The Supplier shall notify the CVL IM in advance of such Service commencing and present to the CVL IM, at the end of each day, detailed record sheets for agreement of labour, materials and equipment used. Income and Corporation Taxes Section 74 of The Finance Act 2004 if applicable to this Agreement All payments to the Supplier will be subject to the current tax legislation pursuant to Section 74 of The Finance Act 2004. The status of the Supplier and the CVL IM in relation to Section 74 of The Finance Act 2004 is as confirmed in the Contract Data. General No failure on the part of the CVL IM at any time or from time to time to enforce or to require the strict adherence and performance of any of the terms, conditions and provisions of this Agreement shall constitute a waiver of such terms, conditions or provisions and/or affect or impair such terms, conditions or provisions in any way or the right of the CVL IM at any time to avail itself of such remedies as it may have for each and every breach of such items, conditions or provisions. If any provision of this Agreement is or becomes for any reason whatsoever invalid, illegal or unenforceable, it shall be divisible from this Agreement and shall be deemed to be deleted from it and the validity of the remaining provisions shall not be affected in any way. No change to this Agreement shall be valid unless it is in writing and signed by or on behalf of each of the parties. The Supplier shall not sub-contract or assign the whole or any part of this Agreement or the benefit thereof without the prior written consent of the CVL IM. The CVL IM shall, by notice in writing to the Supplier, be entitled to suspend the performance of the Services. This Agreement and any dispute or claim whatsoever relating to it or its formation shall in all respects be construed and governed by the laws of England and Wales and the parties agree to submit to the exclusive jurisdiction of its Courts. The Agreement shall constitute the entire agreement between the Supplier and the CVL IM on the subject matter hereof and shall cancel and supersedes all prior written or oral representations or understandings between the Supplier and the CVL IM other than as expressly included in the Agreement. Save in the case of fraud or fraudulent concealment, each party acknowledges that it has not been induced to enter into this Agreement in reliance on, nor has it been given, any representation or other statement of any nature whatsoever other than those set out in this Agreement. A person who is not one of the parties to this Agreement shall have no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of this Agreement but this shall not affect any right or remedy of a third party which exists or is available apart from that Act. This Agreement may be executed in any number of counterparts, each of which shall be deemed an original but all of which together shall constitute one and the same instrument. Appendix A Special Terms 1. SUPPLEMENTARY DEFINITIONS "Apprentice" means a formal arrangement for a person aged sixteen (16) or over to earn a wage and work alongside experienced staff to gain job-specific skills through a recognised and approved apprenticeship scheme including but not limited to the Apprenticeship Matching Service, the apprenticeship matching service organised by Careers Wales; "CAHA" means the Claims Allocation and Handling Agreement dated 1 April 1994 (as may be amended from time to time); "CAHA Registrar" means the registrar appointed in accordance with CAHA; "Careers Wales" means Career Choices Dewis Gyrfa Ltd, registered company number 07442837, a wholly owned subsidiary of the Welsh Government; "Central Government Body" means a body listed in one of the following sub-categories of the Central Government classification of the Public Sector Classification Guide, as published and amended from time to time by the Office for National Statistics: (a) Government Department; (b) Non-Departmental Public Body or Assembly Sponsored Public Body (advisory, executive, or tribunal); (c) Non-Ministerial Department; or (d) Agency; "Direct Agreement" has the meaning given in paragraph 10 of these Special Terms; "Environmental Information Regulations" means the Environmental Information Regulations 2004 together with any guidance and/or codes of practice issued by the Information Commissioner or any Central Government Body in relation to such Regulations; "Freedom of Information Act" means the Freedom of Information Act 2000 together with any guidance and/or codes of practice issued by the Information Commissioner or any relevant Central Government Body in relation to the Freedom of Information Act 2000; "Information Commissioner" means the United Kingdom's supervisory authority responsible for monitoring the application of the Freedom of Information Act and the Environmental Information Regulations; "Living Wage" means an hourly rate which is calculated independently (and updated annually) by the Living Wage Foundation, or such other body as may replace the Living Wage Foundation from time to time, according to the basic cost of living in the United Kingdom; "Natura 2000" means any Special Area of Conservation ("SAC") as defined under the Conservation (Natural Habitats &c.) Regulations 1994 and the Offshore Marine Conservation (Natural Habitats &c.) Regulations 2007, and any Special Protection Area ("SPA") as defined under the EC Birds Directive (EC Directive 2009/147/EC) and any other site afforded the same protection as SACs and SPAs by the Authority or the Welsh Ministers; "Polluter Pays Principle" means the principle according to which the polluter should pay for measures to reduce pollution according to the extent of either the damage done to society or the exceeding of an acceptable level (standard) of pollution; "Request for Information" means a request for information or an apparent request under the Freedom of Information Act or the Environmental Information Regulations; and "TUPE" means the Transfer of Undertakings (Protection of Employment) Regulations 2006. 2. TERMINATION 2.1 Either party shall terminate this Agreement if it is provided with written instructions from the Welsh Ministers to do so in the event that: (a) the Infrastructure Agreement terminates earlier than its original expiry date; and/or (b) the CVL IM ceases to be the Infrastructure Manager of the CVL. 2.2 On any termination or expiry of this Agreement, the Supplier shall: (a) use all reasonable endeavours to mitigate any losses, costs, liabilities or expenses arising in connection with such termination or expiry; and (b) not be entitled to recover any amount in respect of any direct or indirect costs or losses or any loss of profit arising on such termination or expiry. 3. NOVATION/TRANSFER 3.1 The CVL IM shall be entitled to assign, novate or otherwise transfer all of its rights and obligations under this Agreement without the consent of the Supplier, including to the Authority (or to an Authority nominee) immediately prior to any expiry or termination of the Infrastructure Agreement. 3.2 If the CVL IM exercises its rights under this clause, the Supplier shall fully co-operate with the CVL IM to achieve such assignment, novation or transfer, including by promptly entering into any other documents reasonably requested by the CVL IM in relation to the exercise of such rights. 4. LOCAL SUPPLIER, SME OR THIRD SECTOR ENTERPRISE By no later than 15 January in each year (and within fourteen (14) days of the end of the Contract Period), the Supplier shall inform the CVL IM in writing whether it was a local supplier (operating or based within Wales), small and medium size enterprise or third sector enterprise (including community partnership or social enterprise) during the calendar year (or part thereof) which ended on the immediately preceding 31 December or at the end of the Contract Period (as applicable). 5. ETHICAL AND SUSTAINABLE PROCUREMENT OBLIGATIONS 5.1 The Supplier shall comply with the CVL IM's policies including the CVL IM's anti-bribery policies and the equality, diversity and inclusion policy. 5.2 In delivering the Services, the Supplier shall: (a) perform this Agreement, and any relevant subcontract, in accordance with the Modern Slavery Act 2015; (b) not effect any compulsory redundancies of employees who have transferred to the Supplier under TUPE and who were employed immediately prior to 28 March 2020 in the provision of services similar to the services provided to the Authority by the CVL IM under the Infrastructure Agreement; (c) pay not less than the Living Wage to its/their employees provided that this requirement does not apply to Apprentices; (d) keep accurate and complete records of the training and apprenticeships offered by the Supplier (and any of its UK based subcontractors) in performing this Agreement and make the same available to the CVL IM on request, and shall deliver to the CVL IM by no later than 15 January in each year (and within 14 days of the end of the Contract Period) a breakdown of the number of training and apprenticeships offered by the Supplier and its supply chain in performing this Agreement during the calendar year (or part thereof) which ended on the immediately preceding 31 December or at the end of the Contract Period (as applicable); (e) ensure that zero-hours contracts are not used unfairly or as a means to: (i) avoid, or facilitate avoidance of, the payment of tax and National Insurance contributions and the relevant minimum wages; (ii) unduly disadvantage workers in terms of pay and employment rights, job security and career opportunities; or (iii) avoid health and safety responsibilities; (f) ensure that the materials used by it comply with the requirements of "BES 6001 Responsible Sourcing of Construction Products"; and (g) use all reasonable endeavours to ensure that the following resources are not used in the delivery of the Services: (i) 'dumped' steel which is steel provided at a cost that is subsidised by a foreign government; (ii) timber without Forest Stewardship Council (FSC) certification; and (iii) any other materials or resources the use of which would cause material damage to the reputation of the CVL IM and/or the Authority through lack of ethical resourcing. 6. ENVIRONMENTAL OBLIGATIONS 6.1 In delivering the Services, the Supplier shall: (a) use reasonable endeavours to minimise the impact of waste, including, in the following descending order of priority, through: (i) the prevention of waste; (ii) the minimisation of waste; (iii) the re-use of waste; (iv) the recycling of waste; and (v) the disposal of waste, and shall implement the waste management plan (if any) notified to it by the CVL IM; (b) minimise water usage; (c) minimise energy usage; (d) use all reasonable endeavours to use recycled aggregates, recycled paint and recycled paper; (e) support the CVL IM's low carbon impact strategy: (i) by minimising greenhouse gas emissions arising from the provision of the Services in accordance with the principles and goals set out in the Welsh Government publication "Climate Change Strategy for Wales"; and (ii) in relation to traffic and traffic miles, by monitoring and minimising movements to and from any relevant sites for the transporting of the workforce and materials, and providing all information in respect of the same to the CVL IM upon request; (f) deliver and operate the Services taking into account the Authority's objective of zero carbonisation; (g) to the extent applicable in the circumstances, assist the CVL IM in meeting its obligation to assist the Authority in meeting its obligations under the following: (i) the Environment (Wales) Act 2016; (ii) Wales's overarching waste strategy document dated 1 February 2016, known as the "Towards Zero Waste Strategy"; (iii) the Construction and Demolition Sector Plan dated November 2012; and (iv) the recommendations of the Welsh Government prospectus for green growth, known as the "Green Growth Wales Paper"; (h) have regard to and provide support to the Authority in undertaking responsibilities under the Active Travel (Wales) Act 2013, and to support the CVL IM in supporting the Authority in respect of the same, including to support an increase in walking and cycling; (i) shall use its best endeavours not to do anything that would have an adverse effect on the integrity of any Natura 2000 site and shall have due regard to conserving and enhancing biodiversity and in particular, have due regard to: (i) the United Nations Environmental Programme Convention on Biological Diversity of 1992; (ii) any list of living organisms and types of habitat published by the National Assembly for Wales under section 42 of the Natural Environment and Rural Communities Act 2006; and (iii) conserving biodiversity includes, in relation to a living organism or type of habitat, restoring or enhancing a population or habitat; and (j) take all reasonable precautions to reduce or prevent pollution of air, soils and water, and meet the costs of fully rectifying any pollution caused by the Services in accordance with the Polluter Pays Principle. 6.2 The Supplier shall, where the procurement of electricity is within the Supplier's control and electricity from renewable sources is available for procurement, procure all of the electricity that is used in the performance of the Services from Renewable Sources as defined by section 32Z2(2) of the Electricity Act 1989. 6.3 The Supplier shall provide all information that may be required by the CVL IM from time to time to calculate the estimated carbon emissions that will be produced in carrying out the Services. 6.4 The Supplier shall record the sustainability benefits it achieves in providing the Services and shall provide to the CVL IM all information that may be required by the CVL IM from time to time in relation to such benefits. 7. FREEDOM OF INFORMATION 7.1 The Supplier acknowledges that the Authority and the Secretary of State are subject to the requirements of the Freedom of Information Act and the Environmental Information Regulations and accordingly the Supplier shall assist and co-operate with the CVL IM, the Authority and/or the Secretary of State to enable the Authority and/or the Secretary of State to comply with their information disclosure obligations under the Freedom of Information Act and/or the Environmental Information Regulations. 7.2 The Supplier shall: (a) transfer to the CVL IM any Requests for Information received by the Supplier (or its agents or subcontractors) as soon as practicable and in any event within one Working Day of receiving any such Request for Information; (b) provide the CVL IM with a copy of all information in its (or their) possession or power in the form that the CVL IM, The Authority and/or the Secretary of State requires within three Working Days of the CVL IM's, the Authority's and/or the Secretary of State's request (or within such other period as the CVL IM, the Authority or the Secretary of State may specify); and (c) provide all necessary assistance as reasonably requested by the CVL IM, the Authority and/or the Secretary of State to enable The Authority and/or the Secretary of State to respond to any Request for Information within the time for compliance set out in Section 10 of the Freedom of Information Act or Regulation 5 of the Environmental Information Regulations as applicable. 7.3 The parties acknowledge that the Authority and/or the Secretary of State shall be responsible for determining in their absolute discretion, and notwithstanding any other provision in this Agreement or any other agreement, whether any information is exempt from disclosure in accordance with the provisions of the Freedom of Information Act and/or the Environmental Information Regulations. 7.4 The Supplier shall not respond directly to any Request for Information unless expressly authorised to do so by the Authority, the Secretary of State and/or the CVL IM (where it is given such authorisation by the Authority and/or the Secretary of State). 7.5 The Supplier acknowledges that, notwithstanding any provision to the contrary in this Agreement and/or the Infrastructure Agreement, the Authority may be obliged under the Freedom of Information Act and/or the Environmental Information Regulations and any related Code of Practice or other guidance to disclose information concerning the Supplier: (a) in certain circumstances without consulting the CVL IM and/or the Supplier; or (b) following consultation with the CVL IM and/or the Supplier and having taken its/their views into account. 8. CAHA 8.1 In the event that the Supplier (i) is engaged in the connection with the supply of goods or services for the maintenance or operation of railway assets; but (ii) is not party to the CAHA, the following shall apply: (a) this paragraph 8 applies where a claim, which arises out of or is connected with this Agreement, is made by a third party who does not have a contract with the Supplier against the CVL IM or the CAHA Registrar which may result in a claim being made against the Supplier, or the Supplier which may result in a claim being made against the CVL IM or the CAHA Registrar (whether by the Supplier or otherwise); (b) the Supplier irrevocably appoints the CVL IM as its agent (in consultation where necessary with railway industry parties and their insurers) to defend or agree to arrangements for defence of the claim in accordance with the CAHA. In relation to such a claim, the Supplier shall be bound by the terms of the CAHA as if it were a party to it; and (c) where such a claim results in a payment to the third party, the Supplier agrees that liability for such payment and the costs of handling and defending the claim shall be allocated in accordance with the CAHA. In the event of any dispute, it agrees to participate in the procedure set out in clause 22 of the CAHA, PROVIDED THAT paragraphs (b) and (c) above shall not apply to any claim in respect of which the Supplier admits that it is liable and that no railway industry party is liable. In such a case, the Supplier itself may defend the claim. 9. COVID-19 PANDEMIC The Supplier hereby confirms that it has taken into account any potential adverse impact that the Covid-19 pandemic may have on the cost and performance of the Services, including in particular any potential impact on the Price and any performance dates, both at and following the date of this Agreement, and that the Price and performance dates have been produced on that basis. 10. DIRECT AGREEMENT The Supplier shall, if requested by the CVL IM, enter into a direct agreement with the Authority or Welsh Ministers in the form required by the CVL IM (a "Direct Agreement"). Appendix B Dispute Resolution A party may, in accordance with paragraph 14(a) of the Schedule, give notice at any time of its intention to refer a dispute to adjudication under the Adjudication Rules from time to time of the Technology and Construction Solicitors' Association (TeCSA), which are deemed incorporated by reference to this Appendix. Unless concluded with a written legally binding agreement, all negotiations connected with the dispute shall be conducted in confidence and without prejudice to the rights of the parties in any future proceedings. If the parties accept the Adjudicator's decision or otherwise reach agreement on the resolution of the dispute, such agreement shall be reduced to writing and, once it is signed by their duly authorised representatives, shall be binding on the parties.
