Conditions of Tender In submitting a Response to this ITT it will be implied that you accept all the provisions of this ITT including these conditions. The Authority reserves the right (but is not obliged) to seek clarification of any aspect of a Service Providers during the evaluation phase where necessary for the purposes of carrying out a fair evaluation. Service Providers are asked to respond to such requests promptly. Vague or ambiguous answers are likely to score poorly or render the Tender non-compliant. The Authority reserves the right to issue the response to any clarification request made by you to all Service Providers unless you expressly require it to be kept confidential at the time the request is made. If the Authority considers the contents of the request not to be confidential, it will inform you and you will have the opportunity to withdraw the request. By issuing this ITT, the Authority is not bound in any way to enter into any contractual or other arrangement with you or any other party. It is intended that the remainder of this procurement will take place in accordance with the provisions of this ITT but the Authority reserves the right to terminate, amend or vary the procurement process by notice to all Service Providers in writing. The Authority will accept no liability for any losses caused to you as a result of this. The Authority will not be liable for any bid costs, expenditure, work or effort incurred by a Service Provider in proceeding with or participating in this procurement, including if the procurement process is terminated or amended by the Authority and the Authority shall have no liability to the Service Provider for any costs incurred prior to the formation of the legally binding contract unless it agrees otherwise in writing, he Service Provider therefore incurs any such costs at its own risk. Authority All information supplied to you by the Authority, either in writing or orally, must be treated in confidence and not disclosed to any third party (save to your professional advisers) unless the information is already in the public domain. There must be no publicity by you regarding the Project or the future award of any Contract unless the Authority has given express written consent to the relevant communication. The Freedom of Information Act (FOIA) applies to the Authority. You should be aware of the Authoritys obligations and responsibilities under the FOIA to disclose, on written request, recorded information held by the Authority. Information provided by you in connection with this procurement exercise, or with any Contract that may be awarded as a result of this exercise, may therefore have to be disclosed by the Authority in response to such a request, unless the Authority decides that one of the statutory exemptions under the FOIA applies. If you wish to designate information supplied as part of a Response as confidential, you must provide clear and specific detail as to the precise elements which are confidential by completing the form in Schedule 3. Any Service Provider who directly or indirectly canvasses or offers or agrees to offer any gift or consideration to any member, officer of agent of the Authority as an inducement or bribe to influence the award of the Contract for providing the Services (or any matter pertinent to it) shall be disqualified. Any attempt by you or your appointed advisers to inappropriately influence the Contract award process in any way will result in your Response being disqualified. Any direct or indirect canvassing by you or your appointed advisers in relation to this procurement or any attempt to obtain information from any of the employees or agents of the Authority concerning another Service Provider may result in disqualification at the discretion of the Authority. The Authority reserves the right to disqualify you if you do not submit your Response in a manner consistent with the provisions set out in this document (ITT) and the Specification. It is your responsibility to ensure that any consortium member, sub-Service Provider and adviser abides by these Conditions of Tender. Your Response should remain valid for acceptance for a minimum of 90 days from the date it is submitted. Notwithstanding having issued an Invitation to Tender (ITT), The Authority makes no representations regarding Service Providers financial standing, technical competence or ability in any way to perform the Services. Tenders must not be qualified but must be submitted strictly in accordance with the Tender documents. Service Providers must not make unauthorised changes to the Tender documents. Tenders must not be accompanied by statements, other than those for which provision is made, that could be construed as rendering the Tender equivocal and/or placing it on a different footing from other Tenders. Any Tender that does not comply with this clause will be invalidated. Service Providers must obtain for themselves at their own expense, all information necessary for the preparation of the Tender. They must ensure they are fully informed and satisfied as to the nature, extent and practicability of providing the Services and all other risks, contingencies or other circumstances or matters which might in any way affect the Tender or the consideration tendered to IACC. We recommend that legal advice is obtained by the Service Provider where necessary. The Authority will not necessarily be obliged to accept the lowest or any bid. The Service Provider will be obliged to maintain an ongoing dialogue and to adhere to the agreed methodology used in relation to the completion of the work. All communications in respect of this procurement will be channelled through the Sell 2 Q & A section. The Service Provider shall be prohibited from transferring or assigning directly or indirectly, to any person or persons whatever, any portion of his contract without the written permission of the Council. Sub-letting any part(s) of the work, except to the extent permitted in writing by the Responsible Officer, shall be prohibited. The Council shall be entitled to cancel the contract and to recover from the Service Provider the amount of any loss resulting from any such cancellation if the Service Provider shall have offered or given or agreed to give to any person any gift or consideration of any kind as an inducement or reward for doing or forbearing to do or for having done or forborne to do any action in relation to obtaining or the execution of the contract or any other contract with the Council, or for showing or forbearing to show favour or disfavour to any person in relation to the contract or any other contract with the Council, or if the like acts shall have been done by any person employed by him or acting on his behalf (whether with or without the knowledge of the Service Provider) or if in relation to any contract with the Council the Service Provider or any person employed by him or acting on his behalf shall have committed any offence under the Bribery Act 2010, or any amendment of them, or shall have given any fee or reward the receipt of which is an offence under the sub-section 2 of Section 117 of the Local Government Act, 1972. The Council may in its absolute discretion refrain from considering any Tender if: it is not in accordance with the Form and Conditions of Tender; the Service Provider makes or attempts to make any variation or alteration to the terms of the Tender, the Conditions or the Specification except where a variation or alteration is invited or permitted in accordance with the terms of all or any of the Tender, the Conditions and the Specification; or the Service Provider does not provide all the information required by the Authority. Any Tender submitted by a Service Provider in respect of which the Service Provider: fixes and adjusts prices and rates shown in its tender by or in accordance with any agreement or arrangements with any other person or by reference to any other tender or communicates to any person other than the Officer mentioned in this tender the amount or approximate amount of the prices and rates shown in its tender except where such disclosure is made in confidence, in order to obtain information for the preparation of the tender documents or for the purposes of financing or insurance; or enters into any agreement with any other person that such other person shall refrain from submitting a tender or shall limit or restrict the prices to be shown by any other Service Providers in its tender; or offers or agrees to pay or does pay or give any sum of money, inducement or valuable consideration directly or indirectly to any person for doing or having or causing or having caused to be done in relation to any other Service Provider or any other persons proposed Tender any act or omission; or in connection with the award of the Contract commits an offence under the Bribery Act 2010 or gives any fee or reward the receipt of which is an offence under Sub-Section (2) of Section 117 of the Local Government Act 1972; has directly or indirectly canvassed any member or official of the Council concerning the acceptance of any Tender or who has directly or indirectly obtained or attempted to obtain information from any such member of official concerning any other Service Provider or tender submitted by any other Service Provider; shall be rejected by the Council provided always that such non-acceptance or rejection shall be without prejudice to any other civil remedies available to the Council or any criminal liability which such conduct by a Service Provider may attract. Tenderers are responsible for ensuring that no conflicts of interest exist between the Tenderer and its advisers, and the Authority and its advisors. Any Tenderer who fails to comply with this requirement may be disqualified from the procurement at the discretion of the Authority. The Council expects that any organisation wishing to provide services where staff are employed to work directly or indirectly with children, young people or vulnerable adults are able to demonstrate standards of safeguarding commensurate with those expected of statutory organisations. All suppliers are expected to have considered Safeguarding risks both in their general operations and HR procedures and in relation to the contract being tendered. For contracts identified as high risk, which will be made clear in the tender documentation, guidance will be given for working with both children and vulnerable adults. 5. Documents forming the contract The following documents shall form part of the Contract between the Authority and the Service Provider(s): The Invitation to Tender The Tender Responses Specification. Schedules (such as service levels, site plans, asset lists, contracts list, list of transferring employees, relevant policies and so on). A pricing model (as completed by the Service Provider). [Responses to requirements OR method statement questions] (as completed by the Service Provider). A list of commercially sensitive information (as completed by the successful Service Provider in Schedule 3).] Contract Award The Authority may award Contract(s) on the basis of a Tender submitted in accordance with the instructions set out in this document. A Contract award is subject to the formal approval process of the Authority. Until all necessary approvals are obtained and the standstill period completed, no formal and legally binding Contract(s) will be confirmed or entered into. Once the Authority is satisfied that the formal approval process has been completed satisfactorily and has reached a decision in respect of a contract award, it will notify all bidders of that decision prior to entering into any formal and binding legal Contract(s). It is understood that the Invitation to Tender (and associated schedules), the successful Tender Response, the formal acceptance of this Tender in writing by the Authority or such parts as may be specified, TOGETHER with the executed contract documents shall comprise a binding contract between the Authority and the Service Provider. No binding contract shall be formed unless and until all such documents are executed. Subject to the completion of the formalities referred to in clause 6.6 (where relevant), the Authority will notify all unsuccessful Service Providers of the identity and relative advantages and characteristics of the successful Tender as compared with the addressee's Tender. Where appropriate this notice will comply with the provisions of Regulation 86 and 87 of PCR 2015. Warnings and disclaimers While the information contained in this ITT is believed to be correct at the time of issue, neither the Authority, its advisors, nor any other awarding authorities will accept any liability for its accuracy, adequacy or completeness, nor will any express or implied warranty be given. This exclusion extends to liability in relation to any statement, opinion or conclusion contained in or any omission from, this ITT (including its appendices) and in respect of any other written or oral communication transmitted (or otherwise made available) to any Service Provider. This exclusion does not extend to any fraudulent misrepresentation made by or on behalf of the Authority. If a Service Provider proposes to enter into a Contract with the Authority, it must rely on its own enquiries and on the terms and conditions set out in the Contract(s) (as and when finally executed), subject to the limitations and restrictions specified in it. Neither the issue of this ITT, nor any of the information presented in it, should be regarded as a commitment or representation on the part of the Authority (or any other person) to enter into a contractual arrangement. Authority's rights The Authority reserves the right to: Waive or change the requirements of this ITT from time to time without prior (or any) notice being given by the Authority. Seek clarification or documents in respect of a Service Provider's submission. Disqualify any Service Provider that does not submit a compliant Tender in accordance with the instructions in this ITT. Disqualify any Service Provider that is guilty of serious misrepresentation in relation to its Tender, expression of interest, the PQQ or the tender process. Withdraw this ITT at any time, or to re-invite Tenders on the same or any alternative basis. Choose not to award any Contract as a result of the current procurement process. Make whatever changes it sees fit to the Timetable, structure or content of the procurement process, depending on approvals processes or for any other reason.
