Business Day means a day other than a Saturday, Sunday or public holiday in England and Wales when banks are open for business. the Commencement Date means 11 July 2022. Confidential Information means information in whatever form and howsoever recorded or stored (including in written, oral, visual or electronic form or on any magnetic or optical disc or memory (including the cloud) or held any social networking sites concerning or relating to: all business contacts, associates, lists of customers and suppliers and details of contracts with them in relation to the business of the Client; identities of potential customers with whom the Client is negotiating; details of business practices of the Client; business expenditure levels and pricing policies including details of percentage mark of profit and discounts; proposals plans, drawings or specifications; management accounts, trading statements, statistical information and other financial reports and budgets; corporate and marketing strategy, business development and plans, business reports and research results; unpatented designs, drawings, data specifications, and all other technical business including all readable or computer or other machine readable data logic, logic diagrams, flow charts, orthographic representations, coding sheets, coding source or object codes listings, test data, test routines, diagnostic programs or other material relating to or comprising software; details of employees or officers of the Client including their salaries and benefits packages; and any documents marked "confidential". Data Protection Legislation means all Applicable Law relating to the processing of Personal Data and privacy including (i) the General Data Protection Regulation, the Data Protection Act 1998, the Data Regulation of Investigatory Powers Act 2000, the Telecommunications (Lawful Business Practice) (Interception of Communications) Regulations 2000 (SI 2000/2699), the Electronic Communications Data Protection Directive (2002/58/EC), the Privacy and Electronic Communications (EC Directive) Regulations 2003 (SI 2426/2003) and any subsequent legislation enacted and duly in force from time to time; and (ii) all guidance and codes of practice issued by the Information Commissioner. "Engagement" means the engagement of the Supplier for the Term (as hereinafter defined) and any extension of the Term on the terms of this Agreement. Intellectual Property means all patentable or unpatentable inventions, discoveries, improvements and processes, all methods, data, formulae, information, specifications; all copyright works (including without limitation computer programs); all plans and designs (whether registered or registrable) and all or other work in each case that is created, developed or conceived by the Supplier in connection with the provision of the Services. Intellectual Property Rights means all rights which may subsist in the Intellectual Property or are granted in respect of the Intellectual Property, including without limitation, all trade and service marks (whether registered or not), patents, registered designs, design rights, copyright, database rights, rental and lending rights, neighbouring rights and moral rights (including in all such cases any applications for any such rights or protections and any rights to apply therefor) all utility modules, rights in any secret processes and confidential information or other associated or similar rights or protections. 1.2 In this Agreement: 1.2.1 words expressed in the singular include the plural and vice versa and words expressed in one gender include any other gender; 1.2.2 the clause headings do not form part of this Agreement and should not be taken into account in its construction or interpretation; 1.2.3 (unless otherwise specified) reference to any enactment is a reference to that enactment as amended or re-enacted or as its application is modified by other provisions (whether before, on or after the date of this Agreement) and to any previous enactments consolidated in it and to any order or regulation made under it; and 1.2.4 any phrase introduced by the terms including, include, in particular or any similar expression will be construed as illustrative and will not limit the sense of the words so introduced. THE ENGAGEMENT AND DURATION The Client engages the Supplier to provide it with the Services, as described in Schedule 1. The Supplier agrees to provide the Services subject to the terms and conditions set out in this Agreement. The Engagement shall commence on the Commencement Date and shall continue, subject to the provisions of clause 9 and the remaining terms of this Agreement for a period of [INSERT] [months] [weeks] following the Commencement Date (the Term) when it shall terminate automatically without notice on [DATE] (unless otherwise agreed in writing by the parties at any time prior to the expiry of the Term). CAPACITY The parties acknowledge that the Supplier is an independent contractor and nothing in this Agreement shall render the Supplier an employee, worker, agent or partner of the Client and the Supplier shall not hold himself out as such. This Agreement constitutes a contract for the provision of services and not a contract of employment and accordingly the Supplier shall be fully responsible for and shall indemnify the Client for and in respect of: any income tax, National Insurance and social security contributions and any other liability, deduction, contribution, assessment or claim arising from or made in connection with the performance of the Services, where the recovery is not prohibited by law. The Supplier shall further indemnify the Client against all reasonable costs (including legal costs), expenses and any penalty, fine or interest incurred or payable by the Client in connection with or in consequence of any such liability, deduction, contribution, assessment or claim; any liability arising from any employment-related claim or any claim based on worker status (including reasonable costs and expenses) brought by the Supplier against the Client arising out of or in connection with the provision of the Services. The Client may at its option satisfy such indemnity (in whole or part) by way of deduction from any payments due to the Supplier. The Client shall not be vicariously liable for any of the acts or omissions of the Supplier and unless he has been specifically authorised to do so by the Client in writing, the Supplier shall not be entitled by virtue of this Agreement or otherwise to pledge the credit of or incur any expenditure in the name of the Client, sign any document, enter into any contract or agreement or make any promise on behalf of the Client. FEES AND EXPENSES Subject to the remaining provisions of this Agreement and in consideration of the provision of the Services during the Engagement, the Client shall pay to the Supplier a flat consultancy fee of [INSERT] [plus VAT] which shall become payable on the expiry of the Term, or in staged payments as agreed in the implementation meeting At agreed stages during the Term the Supplier shall submit to the Client an invoice which gives details of the days which the Supplier has worked, the Services which have been provided and the amount of the fee payable for such Services during that month. If the invoice is approved the payment of the invoice set out in clause 4.2 will be made by the Client within 28 days of receipt by the Client of the appropriate invoice by bank transfer. The Supplier shall ensure that he is registered for the purposes of VAT promptly when required to do so by law or by any fiscal or regulatory authority. If for any reason the Client becomes liable to pay any such tax: the Supplier hereby indemnifies and agrees to keep indemnified the Client against such liabilities together with any interest, penalties, fines and costs (including legal expenses on an indemnity basis) arising directly or indirectly therefrom; and the Client shall be entitled to deduct from any amounts payable to the Supplier pursuant to this Agreement all amounts which it may have become liable by law to pay or to require the Supplier forthwith to pay to or to reimburse the Client an amount equal thereto. The Supplier shall bear his own expenses incurred in the course of the Engagement. Payment in full or part of the fees under clause 4 shall be without prejudice to any claims or rights of the Client against the Supplier in respect of the provision of the Services. SUPPLIER'S OBLIGATIONS Nothing shall preclude the Supplier from acting for any other person, firm or company provided that: this does not impinge upon their ability to carry out the Services at such times and in such manner as required in this Agreement and to the requisite standard; and such activity does not cause a breach of any of the Supplier's obligations under either this Agreement; and The Supplier shall subject to the terms of this, Agreement: ensure that they are available at all times on reasonable notice to provide any assistance or information as the Client may require; faithfully and diligently and in a timely and professional manner using all due care, ability and skill, perform their obligations hereunder; use their best endeavours to promote the interests of the Client; comply with all reasonable instructions given to them by the Client in relation to the Services; comply with all reasonable standards of safety and comply with the Clients health and safety procedures from time to time in force at the premises where the Services are provided and report to the Client any unsafe working conditions or practices; comply with all applicable Client policies, laws, regulations, codes and sanctions relating to anti-bribery and anti-corruption including but not limited to the Bribery Act 2010; keep records of all things done by them in relation to the Services and at the Clients request shall make any documents and records available for inspection and/or provide copies to the Client; on request, provide the Client with such explanations and information relating to the activities undertaken by the Supplier in relation to the Services as may be required from time to time. Any breach of clause 5.2 shall be deemed a serious breach of this Agreement and, without prejudice to clause 9 may result in immediate termination of this Agreement. INSURANCE AND LIABILITY The Supplier shall have personal liability for and shall indemnify and keep indemnified the Client for any loss, liability, costs (including reasonable legal costs), damages or expenses arising from any breach by the Supplier of the terms of this Agreement, including any negligent or reckless act, omission or default in relation to the Services and shall maintain in force during the period of this Agreement adequate insurance cover with reputable insurers acceptable to the Client. INTELLECTUAL PROPERTY Subject to the Patents Act 1977 and the Copyright, Designs and Patents Act 1988 any Intellectual Property made or created by the Supplier during the course of carrying out the Services shall be the exclusive property of the Client and the Supplier undertakes at the expense of the Client to execute any formal and additional assignment required by the Client to vest or confirm the vesting in it or its nominee of all Intellectual Property Rights. Nothing in this clause shall prevent the Supplier from claiming the right to be identified as author (as opposed to owner) of copyright and other related rights. CONFIDENTIALITY The Supplier acknowledges that in the course of the Engagement they will have access to Confidential Information. The Supplier has therefore agreed to accept the restrictions in this clause 8. The Supplier shall not during the Engagement (except in the proper provision of the Services) or after the Engagement has terminated (except as required by law or with the prior written consent of the Client, such consent not be unreasonably withheld) disclose to any person, company or other organisation or use otherwise than for the benefit of the Client any trade secrets or Confidential Information. After the termination of this Engagement, this restriction shall not apply to information which has come into the public domain other than through unauthorised disclosure by the Supplier. The Supplier will not during the Engagement (otherwise than in the proper provision of the Services) make copies of Confidential Information or notes or memoranda relating to any matter within the scope of the business of the Client or any Group Client relating to its or their affairs or its or their suppliers, agents, distributors or customers. Further, the Supplier will not during the Engagement nor afterwards use or permit to be used such copies or memoranda otherwise than for the benefit of the Client. SUMMARY TERMINATION Notwithstanding the provisions of clause 2, the Client may terminate this Agreement with immediate effect with no liability to make any payment to the Supplier if at any time the Supplier: commits any gross misconduct affecting the business of the Client; commits any serious or repeated breach or non-observance of any of the provisions of this Agreement or refuses or neglects to comply with any reasonable and lawful directions of the Client; or is convicted of a criminal offence (other than an offence under the road traffic legislation in the United Kingdom or elsewhere for which a fine or non-custodial penalty is imposed); or is in the reasonable opinion of the Client negligent and incompetent in the performance of the Services; or is declared bankrupt or has a county court administration order made against him under the County Court Act 1984; or is incapacitated (including by reason of illness or accident) from providing the Services for an aggregate period of 30 days during the Engagement; is guilty of any fraud or dishonesty or acts in any manner which in the opinion of the Client brings or is likely to bring the Supplier or the Client or any Group Client into disrepute or is materially adverse to the interests of the Client; or makes a resolution for its winding up, makes an arrangement or composition with its creditors or makes an application to a court of competent jurisdiction for protection from its creditors or an administration or winding-up order is made or an administrator or receiver is appointed in relation to the Supplier. The rights of the Client under this clause 9 are without prejudice to any other rights that it might have at law to terminate the Engagement or to accept any breach of this Agreement on the part of the Supplier as having brought the Agreement to an end. Any delay by the Client in exercising its rights to terminate shall not constitute a waiver thereof. BREAK The Client shall have the right to terminate this Agreement at any time by giving 3 months written notice to the Supplier or such other period of notice as agreed in writing by the parties. RETURN OF PROPERTY Upon the termination of this Agreement for any reason whatsoever the Supplier shall forthwith deliver up to the Client all property belonging to the Client or its customers including but not limited to all documents, books, manuals, materials, records, correspondence, papers and information (on whatever media and wherever located) relating to the business or affairs of the Client and business contacts, and any equipment, keys, hardware or software provided for the Supplier's use by the Client during the Engagement, and any data or documents (including copies) produced, maintained or stored by the Supplier on the Client or the Supplier's computer systems or other electronic equipment during the Engagement. Without prejudice to the generality of the foregoing, the Supplier shall ensure that all such correspondence, documents or computer records in his possession, custody or control which contain information relating to the Clients business are delivered up to the Client forthwith. The Supplier shall also irretrievably delete any information (including confidential information) relating to the business of the Client stored on any magnetic or optical disk or memory and all matter derived from such sources which is in his possession or control outside the premises of the Client. Before deleting such information, the Supplier undertakes to ensure that the Client has copies of it. ENTIRE AGREEMENT This Agreement constitutes the entire agreement and understanding of the parties in relation to this consultancy and supersedes any previous agreement between the parties relating to the subject matters specifically set out in this Agreement. RESTRICTION ON ASSIGNMENT Neither party may assign, transfer or sub-contract or in any other manner make over to any third party the benefit and/or burden of this Agreement without the prior written consent of the other. JURISDICTION The terms of this Agreement shall be governed by and construed in accordance with the law of England and Wales. Each party irrevocably agrees that the Courts of England and Wales shall have exclusive jurisdiction in relation to any claim dispute or difference concerning this Agreement and any matter arising therefrom. GENERAL This Agreement may be executed in any number of counterparts, each of which when executed and delivered is an original but all the counterparts together constitute the same document. No variation of this Agreement shall be valid unless it is in writing and signed by or on behalf of each of the parties. DATA PROTECTION The Supplier consents to the Client holding and processing data relating to them for legal, personnel, administrative and management purposes and in particular to the processing of any Personal Data and / or Special Category Data as defined in the Data Protection Legislation relating to the Supplier including, as appropriate: information relating to any criminal proceedings in which the Supplier has been involved, for insurance purposes and in order to comply with legal requirements and obligations to third parties. The Supplier consents to the Client making such information available to any person who provide products or services to the Client such as advisers, regulatory authorities, governmental or quasi-governmental organisations and potential purchasers of the Client or any part of its business. The Client may transfer the Suppliers data to third parties only when this is necessary to fulfil the contract (for example, in order to make payments to the Supplier) or for analysis of third party expenditure data. All third parties processing Personal Data and / or Special Category Data on the Clients behalf are required under contract to abide by the EU General Data Protection Regulation. The Client will retain the Suppliers personal information for the length of the Agreement and thereafter according to the Clients schedule. Subject to some legal exceptions, the Supplier has the right to: request a copy of the personal information the Client holds about the Supplier to have any inaccuracies corrected to have the personal data erased to place a restriction on our processing of the Suppliers data to object to processing to request the Suppliers data to be ported (data portability). The Supplier shall comply with the Client's data protection policy and relevant obligations under the Data Protection Legislation and associated codes of practice when processing Personal Data and / or Special Category Data relating to any employee, worker, customer, client, supplier or agent of the Client.
