PROJECT PARTICULARS AND DOCUMENTATION AT: Various locations within the BRECON BEACONS NATIONAL PARK FOR: Brecon Beacons National Park Authority 01.01 NAMES OF PARTIES The term "Supervising Officer" shall mean the National Park Officer or any person or company whom he appoints for the supervision of the works. The term "Contractor" shall mean the Individual or firm or company undertaking the works and shall include the legal personal representatives of such individual or of the persons comprising such firm or company and the permitted assigns of such individual or firm or company. The term "Employer" shall mean the Brecon Beacons National Park Authority. The "Works" means the works set out in the specification for peat restoration works. 01.02 DESCRIPTION OF SITE: All of the sites lie within the Brecon Beacons National Park and all are at an altitude of over 500 metres. Degrading peat is present on all of the sites, in particular peat hags, bare exposed peat and draining peat. Ground conditions reflect the above conditions with uneven surfaces which provide relatively little structural support. Detailed descriptions of individual sites can be found within the specification. 01.03 DESCRIPTION OF WORKS: The works include regrading peat hags, reducing water flow rates by formation of small dams using insitu material and imported stone (BBNPA will airlift stone to site). The Contractor must comply with any conditions relating to the protection of the SSSI. (See attached specifications for detail). 01.04 ACCESS TO SITE Access to site should be agreed with the S.O.and should be on foot or ATV only. 01.05 CONTRACT DOCUMENTATION The contract shall comprise the following: Specification Conditions of contract (this document) BBNPA tender selection criteria (in the specification) Contractors tender submission Site location map BBNPA acceptance letter The Works shall be carried out in accordance with the contract. NOTE: The contractor will be assumed to have visited the site to ascertain the nature, character and extent of the proposed work, and satisfy himself as to the nature of the ground, local conditions, site access and accessibility of the site, and to acquaint himself with the conditions affecting supply of plant, labour and materials. 02. PRELIMINARIES 02.01 FORM OF CONTRACT The contract will be let on a day rate basis as detailed in the BBNPA tender selection criteria document. Quotations are invited for the whole of the works, however the BBNPA shall reserve the right to let a contract for all of the works or parts thereof if financial constraints require this action. Contractors should follow instructions in the specification to submit their bids. The Contractor is expected to examine the documents, visit the site, inspect the works and obtain such additional information as regards site conditions, conditions of existing surfaces, site measurements and all other factors as may be necessary to accurately price the works. No claim on the grounds of lack of information will be entertained. All items are to be priced inclusive of all necessary or contingent works or associated labour whether or not described in detail but which are necessary to bring the described works to completion. 02.02 STANDING ORDERS The contractor is required to agree to the Standing Orders of Brecon Beacons National Park Authority. 02.03 COMMENCEMENT AND COMPLETION OF WORKS Works should commence no later than: 03/10/22. Contractor should agree exact start date within this timeframe with the Supervising Officer. The whole of the work is to be completed by: 17/03/23. Works should not commence in any event until the contractor has supplied satisfactory Method statement, Risk Assessment, Public Liability insurance and Employers Liability Insurance, and any additional information required to BBNPA. 02.04 COMPLIANCE WITH SSSI AND OTHER STATUTORY CONDITIONS The BBNPA shall obtain necessary consents from the Competent Authority to enable works described in the Specification to be undertaken. The Contractor should make himself aware of any statutory designations (such as SSSI designation) and should comply with all conditions required by the competent Authority. If it is not possible to execute the works within the statutory conditions the contractor should halt works immediately and inform the S.O. 02.05 VARIATIONS During the period of the contract BBNPA may issue Variation Orders - these will be written orders signed by the Supervising Officer and signed by both the S.O. and Contractor on site. A duplicate copy will be retained by the contractor. Variation orders shall include the quantity of works and the agreed variation in cost (additional or reduction), to carry that work out. Variation Orders must be signed as above for all additional works, prior to work being carried out. Any charging by the contractor additional to the fixed price must quote the appropriate variation order number, for any payment to be made. The costs of any work carried out that is not requested by the Supervising Officer, or is without a variation order shall not be met by BBNPA. 02.06 ADDITIONAL WORKS It is anticipated that supplementary or additional minor works may be required, at the request of the Supervising Officer, during, or at the end of the works identified in the specification. Contractors should make their team available for such works, and include a "price per item" rate expressed in per item, on the quotation proforma. 03. LABOUR AND SUPERVISION 03.01 Contractor Staff All works shall be carried out by workpeople properly skilled in their respective trades. The Contractor shall identify staff and roles within its quotation / tender documentation together with a brief description of their relevant experience. 03.02 FOREMAN-IN-CHARGE The contractor is to maintain at all working times a responsible Foreman-in-Charge, and instructions given to him by the Supervisory Officer shall be deemed to have been given to the Contractor. The Contractor shall notify the Supervising Officer in writing of the identity of the Foreman in charge. 03.03 The contractor shall identify staff who shall be working on site in his tender submission. All staff shall be legally eligible to work in the UK. 03.04 WORKING HOURS The contractor shall state his anticipated working hours and work days in his tender submission. 03.05 SITE ADMINISTRATION The Contractor shall allow for all costs involved in site administration necessary for the prompt and efficient execution of the works in addition to the Foreman-in-Charge. 04. MATERIALS AND WORKMANSHIP 04.01 GENERALLY The whole of the works are to be completed in accordance with good practice, executed to a high standard by operatives well skilled in the appropriate trade. 04.02 Contractors are required to remove bulk bags (if supplied) from site as they are emptied and dispose of appropriately at a legally licensed waste disposal site. 04.03 STANDARDS The standards of finish, together with qualities of materials and standards of workmanship shall be to the reasonable satisfaction of the Supervising Officer. 04.04 SAMPLES The Contractor shall allow for providing samples of workmanship and materials when requested. Samples shall be retained by the contractor for comparison, subsequent work executed or materials delivered. Where manufactured articles are not specified by makers name or in instances where alternative articles to those specified are proposed by the Contractor, samples of such must be submitted to the Supervising Officer and approved before ordering. 04.05 REMEDIAL WORKS The Contractor is to allow for making good all defects which may arise or be discovered due to faulty workmanship and/or materials for a period of 6 months after the issue of the Certificate of Practical Completion. 05. SITE ORGANISATION 05.01 PROCEDURE The Contractor will be responsible for the general order and procedure of the works subject to a suitable programme being agreed with the Supervising Officer. 05.02 WORKING SPACE The Contractor's working space shall be limited to the area shown on the drawing and/or agreed on site. The Contractor shall take all precautions to prevent damage to adjoining areas and any damage shall be made good to the satisfaction of the Supervising Officer. 05.03 INSURANCE BEFORE COMMENCEMENT The Contractor's attention is drawn to his liability to effect all insurances required under the Conditions of Contract before commencement of the work. Before works commence the Contractor shall provide to the Supervising Officer evidence of satisfactory Public Liability (to the value of 5 million or more) and Employers Liability Insurance. 05.04 SETTING OUT The Supervising Officer shall be responsible for setting out the whole of the works and for communicating instructions to the contractor. 05.05 NOTICES OF INSPECTION The Contractor shall allow for giving notices to the S.O. when any works are ready that have to be specially inspected. The Contractor will be required by the Supervising Officer to uncover any such work which may have been covered without being inspected and reinstate after inspection at his own expense. 05.06 PLANT AND TOOLS The Contractor shall allow for providing suitable plant and tools necessary for the prompt and efficient execution of the works. All plant and tools shall be maintained in a serviceable and clean condition and in accordance with current safety regulations. The Contractor shall ensure that all mechanical plant left on site is rendered inoperative during non-working hours and that all inherently dangerous machinery is adequately covered and protected. 05.07 TEMPORARY WORKS The Contractor shall allow form, provide, maintain, clear away on completion and make good after all necessary temporary works as may be required including: a) Storage and office accommodation. b) Protection including fencing, barriers etc to prevent damage to persons or property. c) Coverings and protection including tarpaulins etc to secure and prevent damage to new works from inclement weather, dust, impact or any other cause. Any damage caused by either the provision or lack of provision of temporary facilities should be made good at the Contractor's own expenses. 05.08 SAFEGUARDING THE WORKS The Contractor shall include for taking all precautions in safeguarding the works and materials against damage or theft and the making good of such loss or damage. 05.09 TRAFFIC REGULATIONS The Contractor shall allow for all costs incurred in complying with any regulations or requirements which may affect the execution of the works, e.g. loading and unloading. The Contractor shall obtain full details of the regulations and any other requirements which may be enforced during the period of the works. 05.10 MAINTENANCE OF ROADS AND FOOTPATHS The Contractor shall allow for maintaining and making good any damage to any public or private road or footpath caused by the carrying out of the works. All vehicles must leave the site in a clean condition and the Contractor shall allow for keeping all roads and footpaths clear of mud and debris. 05.11 RUBBISH AND DEBRIS All rubbish, debris and excavated material shall be regularly and systematically removed from the site, which is to be kept in clear and tidy condition at all times. 05.12 POLLUTION The Contractor shall take all necessary precautions to ensure no pollution arises directly or indirectly from the execution of the works, either on or off site, and shall indemnify the employer against any costs or damages related to this liability. 05.13 FIRES The Contractor shall not start or cause to sustain ant fire on site for whatsoever purpose without the approval of the Supervising Officer. 05.14 WATER The Contractor shall provide sufficient clean water from the mains or from another source approved by the Supervising Officer to enable all the works, including aftercare, to be implemented. All necessary meters, stand pipes, taps, storage tanks and the like will be provided at the Contractor's expense and on completion will be removed and affected areas made good to the satisfaction of the Supervising Officer. 05.15 DAMAGE OF PROPERTY The Contractor shall be liable for the reinstatement of all walls, fences, shrubberies, lawns, paths, paved surfaces, drains and other site features and vegetation damaged due to the execution of the works and he is to held the National Park Authority indemnified against any claims in respect thereof. 05.16 ASSIGNING, SUBLETTING ETC The Contractor shall not transfer or assign the whole or ant part of this contract to any other person without the written permission of the National Park Officer or his appointed Supervising Officer. Sub-let other than that which may be customary in the trade concerned is prohibited. 06. COMPLETION 06.01 SITE The Contractor shall allow for a thorough cleaning of the whole of the works on completion and leave the site in a clean and tidy condition suitable for the immediate use of the employer. 06.02 CERTIFICATE OF SUBSTANTIAL COMPLETION The Contractor shall make a record of the site and all works completed and submit this record with the final invoice. Provided that the contractor shall have completed all specified works to the satisfaction of the Supervising Officer and supplied all documentation necessary for computation of the final account, the Employer shall supply the Contractor with a certificate of 'Substantial Completion'. 06.03 PAYMENT AFTER SUBSTANTIAL COMPLETION On issue of a Certificate of Substantial Completion and receipt of a satisfactory invoice BBNPA shall authorise payment to the contractor of 100 % of the total amount less payments previously made. 06.04 DEFECTS COMPLETION AND RELEASE OF RETENTION At the end of the defects correction period (6 months after issue of certificate of Substantial Completion) a formal inspection shall be arranged and, subject to the contractors satisfactory rectification of defects, a Certificate of Completion shall be issued and any remaining retention shall be released on receipt of an invoice from the contractor. 07. INDEMNITY 07.01 The Contractor shall, subject to the exceptions in clause 07.02 below, indemnify and, (keep indemnified) the Employer against all losses and claims which may arise out of, or in consequence of the execution of the Works under the contract and the remedying of any defects therein and against all claims, demands, proceedings, damages, costs, charges and expenses whatsoever in respect thereof or in relation thereto. 07.02 The exceptions referred to in 07.01 above are: a) the use or occupation of land (provided by the Employer) by the Works or any part thereof or for the purpose of executing and maintaining the Works or interference whether temporary or permanent with any right of way light air or water easement or quasi-easement which are the unavoidable result of the construction of the Works in accordance with the Contract b) the right of the Employer to construct the Works or any part thereof on over under in or through any land c) damage which is the unavoidable result of the construction of the Works in accordance with the Contract and d) death of or injury to persons or loss of or damage to property resulting from any act neglect or breach of statutory duty done or committed by the Employer his agents servants or other contractors (not being employed by the Contractor) or for or in respect of any claims demands proceedings damages costs charges and expenses in respect thereof or in relation thereto. 08. TERMINATION 08.01 If a) the Contractor shall be in default in that he i) becomes bankrupt or has a receiving order or administration order made against him or presents his petition in bankruptcy or makes an arrangement with or assignment in favour of his creditors or agrees to carry out the Contract under a committee of inspection of his creditors or (being a corporation) goes into liquidation (other than a voluntary liquidation for the purposes of amalgamation or reconstruction) or ii) assigns the Contract without the consent in writing of the Employer first obtained or iii) has an execution levied on his goods which is not stayed or discharged within 28 days or b) the Supervising Officer certifies in writing to the Employer with a copy to the Contractor that in his opinion the Contractor i) abandoned the Contract or ii) without reasonable excuse has failed to commence the Works in accordance with Clause 02.03 or has suspended the progress of the Works for 14 days after receiving from the Supervising Officer written notice to proceed or iii) despite previous warnings by the Supervising Officer in writing is failing to proceed with the Works with due diligence or is otherwise persistently or fundamentally in breach of his obligations under Contract, then the Employer may after giving 7 days' notice in writing to the Contractor specifying the default enter upon the land and the Works and expel the Contractor therefrom without thereby avoiding the Contract or releasing the Contractor from any of his obligations or liabilities under the Contract. Provided that the Employer may extend the period of notice to give the Contractor opportunity to remedy the default. Where a notice of determination is given pursuant to this sub-clause it shall be given as soon as is reasonably possible after receipt of the Supervising Officer's certificate. 08.02 Where the Employer has entered upon the land and the Works as hereinbefore provided he may himself complete the Works or may employ any other contractor to complete the Works and the Employer or such other contractor may use for such completion so much of the Contractor's equipment, temporary works goods and materials which as he or they may think proper and the Employer may at any time sell any of the said Contractor's equipment, temporary works and unused goods and materials and apply the proceeds of sale in or towards the satisfaction of any sums due or which may become due to him from the Contractor under the Contract. 08.03 ASSIGNMENT TO EMPLOYER By the said notice or by further notice in writing within 7 days of the date of expiry thereof the Supervising Officer may require the Contractor to assign to the Employer and if so required the Contractor shall forthwith assign to the Employer the benefit of any agreement for the supply of any goods or materials and/or for the execution of any work for the purposes of this Contract which the Contractor may have entered into. 08.04 PAYMENT AFTER DETERMINATION If the Employer enters and expels the Contractor under this clause he shall not be liable to pay the Contractor any money on account of the Contract until the expiration of the 6 months from the issue of the Certificate of Substantial Completion and thereafter until the costs of completion damages for delay in completion (if any) and all other expenses incurred by the Employer have been ascertained and the amount thereof certified by the Supervising Officer. The Contractor shall then be entitled to receive only such sum or sums (if any) as the Supervising Officer may certify would have been due to him upon due completion by him after deducting the said amount. But if such amount shall exceed the sum which would have been payable to the Contractor on due completion by him then the Contractor shall upon demand pay to the Employer the amount of such excess and it shall be deemed a debt due by the Contractor to the Employer and shall be recoverable accordingly.
