II.2.4) Description of the procurement
In 2014, Norfolk Community Health and Care NHS Trust awarded a contract to Serco for the delivery of the services listed above in this notice. Following a major restructure of their business, Serco announced, in August 2018, that they had entered into an agreement to sell their business unit which provides our services to NHS Shared Business Services (NHS SBS). A novation agreement is being signed to transfer contractual responsibilities from Serco to NHS SBS for the entire contract. The term of the novation is the remainder of the original contract term, ending 31.3.2020.

Justification for selected award procedure:
Extreme urgency brought about by events unforeseeable for the contracting authority and in accordance with the strict conditions stated in the Directive
Explanation:
In 2014, a framework for these services was awarded to Serco by Cambridge and Peterborough NHS Foundation Trust (CPFT) on behalf of the Anglia Support Partnership, of which Norfolk Community Health and Care NHS Trust (NCHC) was a member. Shortly thereafter, NCHC contracted with Serco for the delivery of the services, which is due to term on 31.3.2020.
On 16.8.2018, following a major restructure, Serco announced to their customers that they would be selling the business unit focussing on services outside of their core focus — Facilities management services. In September 2018, Serco wrote to NCHC confirming that they have sold the whole contract to NHS Shared Business Services (NHS SBS). As a result of this, NCHC are forced to novate the current, compliantly tendered agreement for an interim period, whilst writing new specifications for the required services to go out to tender for (a) new contract(s).
For reasons of extreme urgency brought about by events unforseeable by the Contracting Authority, the time limits for the open or restricted procedures or competitive procedures with negotiation cannot be complied with. As a result, NCHC are forced to novate the existing contract from Serco to NHS SBS without further competition. NCHC are currently writing the documents required in order to retender these services compliantly in the near future. A PIN notice has been released confirming these intentions.
