The procurement falls outside the scope of application of the Directive
Explanation
In January 2004, Welwyn Hatfield Borough Council (“the Council”) awarded a contract to Welwyn Hatfield Leisure Limited (“the Trust”), which had been established in 2003 as an industrial and provident society for the purposes of (amongst other things) providing community leisure sports and recreation activities at facilities in the Welwyn Hatfield District, for the management of those leisure facilities (“the Agreement”). The council now intends to replace the trust with a new contractor, an industrial and provident society, Greenwich Leisure Limited (“GLL”), as a consequence of universal succession into the position of the trust, following a merger by way of a transfer of engagements by one registered society to another registered society, in accordance with Article 72(1)(d)(ii) of directive 2014/24/EU. GLL fulfils any qualitative selection criteria initially established by the council. Furthermore, there are no substantial modifications to the contract. The merger is necessary for the ongoing viability of the trust and is not aimed at circumventing the application of the directive. Moreover, certain other modifications are being made to the agreement which have been brought about by circumstances which a diligent contracting authority could not have foreseen, which do not alter the overall nature of the contract and which do not involve an increase exceeding 50 % of the value of the original contract, in accordance with Article 72(1)(c) of Directive 2014/24/EU, and /or which are not substantial, in accordance with Article 72(1)(e) of Directive 2014/24/EU.
