Short description of the contract or purchase(s)
The Contracting Authority intends to enter into a contract variation with an existing Operator to provide leisure service operations, following relocation of the site to the new Fleming Park Leisure Centre in Eastleigh. The proposed new building will be situated adjacent to the existing building. The existing building from which the leisure service operations are currently being provided, is to be demolished. In addition to the existing specified services to operate the new leisure centre, the Operator shall reimburse the Contracting Authority for its capital investment over an extended term.

Justification for the award of the contract without prior publication of a contract notice in the Official Journal of the European Union (OJEU)

development under the conditions stated in the Directive (for supplies only).

Other justification for the award of the contract without prior publication of a
contract notice in the OJEU:
k) The contract has as its object services listed in Annex B of Directive 2004/18/EC or in Annex XVII B of Directive 2004/17/EC
l) The contract falls outside the scope of application of the relevant directive.
In addition to the box(es) ticked above please explain in a clear and
comprehensive manner why the award of the contract without prior publication of
a contract notice in the OJEU is lawful, stating in any case the relevant facts,
and, as appropriate, the conclusions of law in accordance with the articles in
the relevant Directive (500 words maximum):
The Contracting Authority is currently tied into a management contract with the Operator, for leisure service operations which will not expire until March 2020. The building from which the leisure service operations are carried out is beyond economic repair and the Contracting Authority intends to construct a new leisure centre and demolish the existing building. The leisure service operations are to be transferred to the new leisure centre, subject to an annual charge payable by the Operator to the Contracting Authority, in respect of the construction costs over an extended term. Having regard to the value of the proposed variation and the value of the existing management contract (taking into account the Operator's exclusivity rights and rights to compensation to terminate the existing contract), the Contracting Authority has concluded that the proposed variation is not material and therefore, is not subject to the relevant Directive.
