NHS England is the statutory commissioner and NHS North Central London (NCL) CCG has delegated authority to act on behalf of NHS England.

In the interests of administrative efficiency and patient care, the authority intends to vary one of the existing contracts to bring the services and scope of the other contracts within it. The contract to be varied is the Forest Road Group Practice (PMS) contract.

Based on 2020/2021 figures, the annual value of the Forest Road Group Practice PMS varied contract will be GBP 10 727 355 (including rent and rates). Section IV: Procedure

IV.1) Description

IV.1.1) Type of procedure

Award of a contract without prior publication of a call for competition

Justification for selected award procedure:

The procurement falls outside the scope of application of the Directive

Explanation:

The move to a single contract will simplify the partnership administration, use of IT systems, management of patient information, and improve patient services.

All of the GMS contracts are held by MHP, and the PMS contracts are held in the names of the partners. The existing contract which is being varied will be on PMS terms. All service provision which is currently on GMS terms and will now be included within the varied contract will therefore be moved from GMS to PMS terms.

This modification is not substantial under Regulation 72(8) PCR 2015/ Directive 2014/24/EU (to the extent applicable) because:

— the modified contract will not be materially different from the 15 contracts already entered into; no amendments are envisaged to the services or other key provisions such as the payment for the services and changes would purely be administrative to deal with the mechanics of combining the contracts;

— the modification is not introducing conditions which had they been part of the initial procurement procedure, would have allowed for admission of other candidates/acceptance of other tenderers/attracted additional participants as the modified contract terms remain in line with the contract terms of the 15 existing contracts and there is no distortion of competition when compared against the contracts that were initially entered into;

— the modification does not change the economic balance of the contract in favour of the contractor. The substantial aspects of the contract terms (including those as to the services and payment) remain as per the scope of the existing 15 contracts and therefore there is no change in the economic balance in favour of the contractor; and

— the modification does not extend the scope of the contract considerably, as the single modified contract scope reflects the 15 existing contracts, there is no considerable extension of scope when viewing the arrangements as a whole.

Medicus alternatively relies on Regulation 72(1)(d) PCR 2015 (corporate restructuring) (a new contractor replaces the one to which the contracting authority had initially awarded the contract) as the contracting party will need to be replaced due to corporate restructuring, so that the varied contract is held by Medicus, due to the fact that some contracts are currently with Medicus and others with the individual partners as a group.

The contracts in any event fall within the flexible social and other specific services regime (Regulations 74 – 76, PCR 2015). Further, the reason for the change is an NHS specific issue related to the type of entity that may hold PMS contracts. For these reasons and the reasons stated above, the authority does not consider that a change in contractor from Medicus to all the partners individually (or vice versa) is material.
