Abstract

Companies House is an Executive Agency of the Department of Business, Innovation and Skills (BIS) with the following main functions: incorporate and dissolve limited companies; examine and store company information delivered under the Companies Act and related legislation; and make this information available to the public Companies House employs around 950 people of which the majority are based in Cardiff. All document processing for English and Welsh companies and partnerships are performed at the Cardiff office. The equivalent for Scottish companies is administered at the CH Edinburgh office (around 26 staff). The equivalent for Northern Irish companies is administered at the CH Belfast office (around 20 staff). In addition to these offices, CH has an information centre in London (around 10 staff). The address for the Cardiff site is as follows: Companies House Crown Way Cardiff CF14 3UZ Companies House requires the provision of a Debt Recovery Service for the collection of Late Filing Penalties. This is a statutory duty for the Registrar of Companies under the Companies Act. Companies House manages the late filing penalty regime on behalf of BIS (the Department of Business Innovation and Skills) and BIS provides Companies House with funding to meet the costs of administering the regime. Late filing penalties are collected by Companies House on behalf of the Secretary of State, the entire amount is surrendered directly to HM Treasury and does not form part of the Companies House Trading Fund income. The initial action taken against companies who file late is carried out as an internal function of Companies House. It is only when these actions have been exhausted that the contracted service provider are passed the responsibility for the recovery of the debt. The contracted service provider is paid a fee per penalty based on the volume of debt successfully recovered. The volume of debt passed to the service provider for recovery is entirely dependant on the amount of debt Companies House is able to recover themselves in the first instance. As part of the current contract the contractor provides the following services: Recovery of late filing penalties Arranging litigation action deemed necessary in the recovery of late filing penalties Sales ledger administration in relation to late filing penalties Interface between the service provider and Companies House systems Banking arrangements in relation to late filing penalties Bidders should note that whilst this invitation to tender focuses on the specific requirements for Companies House, and all evaluation will be undertaken on this basis, there is the potential for any resulting agreement to be open for BIS and all partner organisations to use.
