This is a Provider Selection Regime Wales (PSR Wales) framework agreement modification notice, under the Health Services (Provider Selection Regime) (Wales) Regulations 2025. For the avoidance of doubt, the provisions of the Public Contracts Regulations 2015/Procurement Act 2023 do not apply to this award. This framework agreement has now been formally modified.
NOTE: Under the terms of this contract the successful supplier(s) will be required to deliver Social Value in support of the authority.
Under the terms of this contract the successful supplier(s) are to ensure this procurement captures the requirements relating to Social Value, bidders will be required to submit responses in relation to the following areas;

-Carbon Footprint
The Framework will remain open throughout its lifetime to allow - on an annual basis - (i) new entrants to the market (prospective Bidders) to seek appointment onto the Framework, (ii) existing Framework Providers to seek appointment onto the Framework in relation to different, or additional Lots to those for which they were originally appointed onto the Framework and / or (iii) existing Framework Providers can apply to adjust their Framework pricing.

VII.2) Information about modifications
VII.2.1) Description of the modifications
The estimated maximum value of the all-Wales framework agreement for the provision of Insourcing/Outsourcing Clinical, Surgical and Diagnostic Procedures has been increased by 25% (GBP 50 million) to reflect higher than anticipated utilisation of the framework by Health Boards since its commencement and to enable its continued use in supporting planned care recovery across NHS Wales.
The modification increases the estimated lifetime value of the framework from GBP 200 million to GBP 250 million. This modification is made in accordance with Regulation 13(4)(d) of the Health Services (Provider Selection Regime) (Wales) Regulations 2025, as it is attributable to a decision of the relevant authority and satisfies the conditions set out in Regulation 13(5). The modification does not render the framework agreement materially different in character, and the cumulative increase in the estimated lifetime value remains below the 25% threshold permitted by the Regulations.
There are no changes to the scope of services, or the suppliers appointed to the framework agreement.

VII.2.2) Reasons for modification
Need for modification brought about by circumstances which a diligent contracting authority/entity could not foresee
Description of the circumstances which rendered the modification necessary and explanation of the unforeseen nature of these circumstances:
The estimated value of the framework was based on historical expenditure and forecast demand at the time of procurement. Since the framework commenced, demand for insourcing and outsourcing services has increased significantly beyond those forecasts due to increased use by Health Boards to support planned care recovery and reduce Referral to Treatment (RTT) waiting times, together with the availability of additional funding. These circumstances could not reasonably have been foreseen at the time the framework was established. The modification is therefore necessary to increase the estimated value of the framework to enable its continued use.
